Adjusted EBITDA loss, continuing operations (non-GAAP)$(9.0)$(49.7)$(43.8)$(168.2)

Quarterly revenue declined 7%, mainly reflecting the absence of Canadian retail sales following the prior-year retail divestiture and lower Canada cannabis revenue; rest-of-world cannabis revenue grew 80%. Management attributed the substantial gross-margin improvement chiefly to cost savings, lower inventory write-downs, and changes in product mix. SG&A fell 39% in the quarter to $54.4 million.

Quarterly net loss from continuing operations was slightly greater than the prior-year loss despite improved operating performance. Other expense was $171.0 million, including $146.7 million of largely non-cash fair-value losses on financial assets. For the nine-month comparison, the much smaller loss primarily reflects the prior-year $1.8 billion impairment charge, not a return to profitability. Total net loss, including discontinued operations, was $216.8 million for the quarter and $583.5 million for the nine months.

Cash flow and liquidity: For the nine months, cash used in operating activities was $259.9 million ($206.0 million from continuing operations); investing activities provided $202.1 million, substantially including proceeds from asset sales; and financing activities used $473.5 million, mainly for debt repayments. Cash and cash equivalents fell to $142.7 million from $667.7 million at March 31, 2023. Short-term investments were $43.4 million and restricted short-term investments were $7.3 million at December 31.

Debt and balance sheet: Reported debt was $612.1 million, including $91.3 million classified as current; principal outstanding, excluding fair-value adjustments, was $626.6 million. Debt decreased from $1.31 billion at March 31, 2023 following repayments, exchanges, and conversions. The secured credit facility matures March 18, 2026; the $100 million CBI promissory note is due December 31, 2024 and carried at a fair value of $85.5 million. Total assets were $1.36 billion and total shareholders’ equity was $544.7 million. The company issued 8.16 million units for gross proceeds of US$35 million in January 2024, after quarter-end.

Material changes, outlook, and risks

  • Going concern: Management states that recurring operating losses, near-term debt obligations, and the need for additional financing raise substantial doubt about the company’s ability to continue as a going concern for at least 12 months from issuance. Management plans to use existing cash, pursue further cost savings, seek equity or debt financing, and monetize assets, but gives no assurance these plans will succeed.
  • Restructuring and asset sales: The company continued Canadian cost reductions and moved toward an asset-light model. It received $153.8 million from property and equipment sales during the nine months. The This Works sale generated $2.2 million cash, a $5.2 million loan note due in 2027, and potential earnout proceeds of up to $5.9 million; a $28.1 million impairment was recorded in connection with the divestiture.
  • Canopy USA / U.S. investments: Planned acquisitions involving Acreage, Wana, and Jetty depend on shareholder, regulatory, and other conditions, including approval of a proposed share-structure amendment and CBI’s discretionary conversion of its shares. SEC staff had objected to the planned deconsolidation of Canopy USA under the prior structure; the company described additional amendments intended to address this, but completion and accounting treatment remain uncertain. The Acreage transaction’s outside date was extended to March 31, 2024.
  • Reporting controls and regulatory matters: Disclosure controls were deemed ineffective at December 31, 2023 because of a material weakness in IT general controls; remediation was not yet considered complete. The BioSteel revenue-control weakness was no longer applicable after deconsolidation. The company is cooperating with an SEC investigation related to its BioSteel review and faces securities class actions and a derivative action concerning disclosures and controls.
  • Other contingencies: A December 2023 arbitration seeks US$32.7 million for alleged breaches of a share purchase agreement. The company denies liability and says it cannot estimate any potential loss. Acreage’s own filings raised substantial doubt about its ability to continue as a going concern, creating risk to the related transaction and the company’s $38.0 million option premium.
  • Guidance: The filing provides no quantified revenue, earnings, or cash-flow guidance. Management commentary focuses on cost reductions, liquidity measures, and execution of its strategic transactions.

Most important facts for investors to verify

  • Available liquidity, cash burn, financing needs, and the company’s ability to meet debt obligations as they fall due.
  • Progress in remediating IT general-control weaknesses and any developments in the SEC investigation or shareholder litigation.
  • Whether the Canopy USA amendments, shareholder vote, CBI conversion, and Acreage/Wana/Jetty transaction conditions are completed on the stated terms and timeline.
  • Whether improved gross margins and lower Adjusted EBITDA losses persist as revenue remains under pressure; assess the non-GAAP measure alongside GAAP results.
  • Realizability of fair values assigned to investments and receivables, including the BioSteel-related receivable, and the outcome of the arbitration and Acreage going-concern risk.
  • Potential dilution: the 1-for-10 share consolidation, financing issuances, outstanding warrants, and the increase to 91,114,604 common shares issued and outstanding as of February 7, 2024.
