Material changes and management commentary
- Revenue grew across major regions: Americas up 14%, Europe up 23%, and Asia up 101%. Strong consumer-electronics sales in Asia were the principal driver; automotive also contributed to growth.
- Higher sales volume improved manufacturing efficiencies and gross margin. Operating expenses rose 18%, principally from higher personnel costs and incentive compensation; R&D spending was $22.8 million and SG&A was $46.5 million.
- Net income benefited from a $13.2 million tax benefit related to stock-option exercises. The reported effective tax rate was a 16% benefit, compared with a 15% expense a year earlier; excluding discrete tax events, management put the effective rate at approximately 18% in both periods. The unusually favorable reported tax rate is not necessarily repeatable.
- Investment income increased 77% to $2.0 million, reflecting more funds available for investment and higher yields. Foreign-currency losses were $0.3 million.
Outlook, risks, and contingencies
- Management expected Q2 2017 revenue to increase sequentially and year over year. It anticipated higher Q2 revenue from consumer electronics and logistics sequentially, but consumer-electronics revenue below Q2 2016 because of large-customer order timing; more large orders were expected in the second half of 2017.
- Management expected Q2 gross margin nearer the mid-point of its historical mid-to-high-70% range, citing preferred pricing for a material customer and a greater logistics revenue mix. It targets annual R&D spending of 10%–15% of revenue and expects continued significant investment.
- The company expected approximately $9 million of ERP-project cash outflows during the remainder of 2017, with a large portion expected to be capitalized; the system was expected to enter service in the first half of 2018.
- After quarter-end, Cognex acquired ViDi Systems and selected assets and liabilities of GVi Ventures; neither was considered material. The board also authorized an additional $100 million share-repurchase program to begin after the existing program is completed and declared a $0.085-per-share dividend payable June 16, 2017.
- Ordinary-course legal claims were pending or threatened; management did not expect them to materially harm financial position, liquidity, or results. The filing identifies risks including customer and industry concentration, global economic conditions, foreign exchange, supplier reliance, demand forecasting, competition, technology and product execution, cybersecurity, acquisitions, litigation, and tax exposure.
- Management said existing cash and investments plus operating cash flow should meet needs for at least the next 12 months. It cautioned that quarterly results are not necessarily indicative of full-year results.
Important facts for investors to verify
- Whether the exceptional Asia and consumer-electronics growth, and the expected shift in major customer orders into the second half, translate into sustained revenue growth.
- The recurrence and earnings impact of stock-option exercises and their associated tax benefits; reported Q1 net income was materially boosted by the discrete tax benefit.
- Gross-margin effects from preferred customer pricing and logistics product mix, and progress and spending on the ERP system.
- Integration and performance of recent and subsequent acquisitions, plus execution of the remaining repurchase authorization and dividend policy.
- Exposure to foreign-exchange movements, customer concentration, and other risks described in the company’s 2016 Form 10-K.
