Q3 revenue fell 30% reported (27% excluding currency effects), primarily reflecting the timing of large consumer-electronics orders: more were recognized in Q3 2014, while 2015 orders were spread across the first three quarters, peaking in Q2. Nine-month revenue rose 8% reported (13% excluding currency effects). Excluding those large orders, factory-automation revenue increased on a constant-currency basis, led by Greater China and Europe; semiconductor and electronics capital-equipment revenue declined.

Q3 operating expenses fell 14% year over year, but not enough to offset lower revenue; operating margin declined to 26% from 36%. Nine-month operating income was nearly flat despite higher revenue, with R&D and SG&A spending increasing. Management cited currency effects, product mix and new-product introduction costs as gross-margin pressures, offset by manufacturing efficiencies and lower inventory charges. Continuing-operations effective tax rates were 12% for Q3 and 15% for the nine months, versus 16% in both 2014 periods; management said rates excluding discrete tax items were about 17.5%.

Operating cash flow for the nine months was $74.1 million, versus $63.0 million. Investing cash flow was positive $53.9 million, including $104.5 million of net proceeds from the SISD sale; financing cash flow was negative $101.1 million, including $126.4 million of share repurchases and $12.1 million of dividends. Cash and cash equivalents were $79.6 million at October 4; short- and long-term investments totaled $513.1 million, for cash, equivalents and investments of $592.7 million. Total liabilities were $74.6 million; Cognex reported no debt and said existing liquidity and operating cash flow should meet needs for the next 12 months.

Material changes, outlook and risks

  • SISD divestiture: Sold to AMETEK for $155.7 million cash; the company recorded a $125.5 million pretax gain and $78.3 million after-tax gain. The after-tax gain accounts for most of Q3’s increase in total net income and is not representative of ongoing operating earnings.
  • Capital returns: Cognex repurchased $126.4 million of stock and paid $12.1 million in dividends during the first nine months. The August 2015 $100 million repurchase authorization had $16.1 million remaining at quarter-end. On November 1, the board authorized a further $100 million program and declared a $0.07-per-share dividend.
  • Investment and legal items: The company acquired selected Manatee Works assets for a $4.8 million total purchase price, including $3.8 million of contingent consideration tied to revenue milestones. It settled Microscan litigation for $3.5 million; $1.8 million was expensed and $1.7 million recognized as a patent-license asset. Other claims include matters retained in connection with the SISD sale; management did not expect them to materially affect financial position, liquidity or results.
  • Management outlook: No specific revenue or earnings forecast is provided. Management expects continued significant R&D investment and targets R&D spending at 10%–15% of revenue, depending on revenue and investment cycles. It highlighted risks including customer concentration, global economic and industry cyclicality, foreign-exchange movements, demand forecasting, suppliers, competition, product development, litigation, taxes and cybersecurity.

Important facts for investors to verify

  • Whether consumer-electronics order timing reverses in subsequent quarters and whether underlying factory-automation growth continues.
  • Ongoing revenue, margins and earnings excluding the SISD sale gain, and the effects of currency, product mix and new-product costs.
  • Progress and remaining capacity under the share-repurchase programs, dividend payments, and the impact of buybacks on share count and liquidity.
  • Actual tax rate compared with the stated approximately 17.5% rate before discrete items; potential release of $0.75–$0.85 million of tax reserves over the next 12 months.
  • Any material developments in retained SISD liabilities, other legal matters, or Manatee revenue milestones and contingent consideration.
