Total cash and investments were $16.567 million, compared with $15.837 million at September 30, 2011. Clearfield reported no debt and stated that existing liquidity and expected operating cash flow should fund working-capital and capital-resource needs for the next 12 months.

Total assets were $29.583 million and total shareholders’ equity was $27.449 million at December 31, 2011. Accounts receivable declined to $2.027 million from $3.229 million at fiscal year-end, while inventories declined to $2.528 million from $2.757 million.

Material Changes and Cash Flow

  • Revenue growth reflected gains from existing and new accounts, Tier 3 carriers, emerging Tier 2 carrier relationships, engineering contractors and additional distributors.
  • Gross margin improved due to strategic sourcing, manufacturing-process improvements, greater factory-overhead absorption and favorable product mix.
  • Operating income more than doubled as revenue growth and margin expansion exceeded the increase in operating expenses.
  • Operating cash flow decreased despite higher earnings, primarily because fiscal 2011 accrued bonus compensation and other accounts payable and accrued expenses were paid in the quarter.
  • Investing activities used $4.699 million, including $5.232 million of investment purchases and $0.063 million of capital expenditures. Financing activities provided $0.108 million from employee stock purchases and option exercises.
  • Cash and cash equivalents decreased by $3.906 million during the quarter, to $7.375 million, largely reflecting investment purchases.

Outlook, Risks and Unusual Items

Management did not provide formal numerical revenue or earnings guidance. Management stated that results may vary because of customer purchasing patterns, seasonality and other operating factors. Early-stage deployments associated with American Recovery and Reinvestment Act stimulus funds positively affected revenue.

  • Market conditions included limited fiber-cable supply and uncertainty regarding federal policy for the Universal Service Fund, both of which influenced customer buying patterns.
  • Power & Telephone Supply Company represented approximately 25% of Q1 FY2012 sales, compared with 27% in the prior-year quarter. Two customers represented 23% of accounts receivable at December 31, 2011.
  • The company had approximately $27.278 million of federal and $22.090 million of state net operating loss carryforwards as of September 30, 2011, subject to expiration and future taxable-income requirements.
  • The company reduced its tax valuation allowance by approximately $373,000 in the quarter, based on current financial condition and anticipated taxable income. Future changes in estimated taxable income could produce additional tax benefits or expense.
  • Stock-based compensation expense increased to $112,153 from $58,287. Unrecognized compensation expense was $1.022 million, expected to be recognized over approximately 5.6 years.
  • No goodwill impairment indicators were identified, and adoption of the new fair-value and goodwill-testing standards had no material impact.
  • Management reported no legal proceedings expected to have a material adverse effect, no material changes to previously disclosed risk factors, effective disclosure controls and no material changes in internal control over financial reporting.

Investor Verification Items

  • Verify whether revenue growth from Tier 2 and Tier 3 carriers, distributors, contractors and stimulus-related deployments is sustainable after customer purchasing variability and stimulus effects.
  • Monitor customer concentration, particularly Power & Telephone Supply Company’s sales contribution and the concentration of accounts receivable.
  • Assess the effect of fiber-cable availability and potential Universal Service Fund policy changes on demand and order timing.
  • Reconcile the decline in operating cash flow with earnings and track future payments of accrued compensation and other liabilities.
  • Evaluate the recoverability of deferred tax assets and the potential effect of future valuation-allowance changes on reported earnings.
  • Confirm that the substantial cash and investment balances remain available and appropriately diversified, including the company’s exposure to bank certificates of deposit.
