- First-half operating cash use was $9.25m, versus $5.85m in 2021. Investing cash use was $21.85m, mainly from $21.59m of short-term Treasury purchases; financing provided $0.52m. Cash and cash equivalents declined by $30.59m to $23.52m, while short-term investments were $21.61m.
- At June 30, total liabilities were $17.42m, including $9.87m carrying value of secured convertible notes ($10m principal) and $2.20m of operating lease liabilities. Notes mature in 2025 and bear floating-rate interest. Total stockholders’ equity was $42.82m.
Changes, outlook and risks
- Revenue growth was accompanied by higher operating expenses. Q2 R&D, sales and marketing, and general and administrative expenses rose 8%, 38%, and 51%, respectively. First-half increases were 31%, 27%, and 57%; higher personnel and share-based compensation were key drivers.
- Gross margin declined year over year, reflecting product mix, increased overhead and inventory reserves. Inventory net of reserves increased to $6.64m from $4.94m at year-end.
- Management stated that cash, cash equivalents and short-term investments were sufficient to support operations and obligations for at least the next 12 months. The filing provides no numerical revenue or earnings guidance; management cautioned that future revenue and capital requirements are difficult to predict.
- ClearPoint was used at approximately 60 Active Surgery Centers, comparable with the prior year, and the company reported more than 45 biologics and drug-delivery partners, versus approximately 35 a year earlier. Partners’ clinical-trial progress and commercial success remain uncertain.
- Risks include COVID-related disruption to elective procedures (historically about 80% of ClearPoint procedures), supply-chain constraints, labor shortages, inflation, and Russia-Ukraine-related economic and supply impacts. Certain components have few alternative suppliers. A 1–2 percentage-point increase in LIBOR above the note’s floor would add an estimated $0.1–$0.2m of annual interest expense.
- A related-party pharmaceutical customer accounted for 14% of Q2 and 16% of first-half sales; it is also a stockholder and noteholder and has a board representative. Another customer represented 11% of Q2 sales. Management reported effective disclosure controls and no material change in internal control; no legal proceedings were reported.
Investor verification points

- Assess whether revenue growth from biologics and drug-delivery partners converts into durable commercial demand, and track customer concentration and related-party transactions.
- Track gross-margin recovery, inventory levels and reserves, and expense growth relative to revenue.
- Review secured-note terms, floating-rate exposure and 2025 maturity, as well as potential dilution from options and other equity awards.
