Third-quarter sales benefited from $15.5 million of montratec revenue, $6.5 million from price increases and $4.2 million of favorable foreign-currency translation, partly offset by $2.4 million of unfavorable volume. Nine-month sales benefited from $27.7 million of montratec revenue, $28.1 million of price increases and $10.1 million of favorable currency translation, with volume approximately $0.2 million unfavorable.

Operating results benefited from acquisition contributions, pricing, manufacturing-cost actions, favorable product-liability reserve adjustments and currency translation. Expense increases included research and development investment, amortization of acquired intangibles, acquisition-related costs, business realignment costs, headquarters relocation costs and higher stock compensation.

Interest and debt expense increased to $10.0 million in the quarter and $28.8 million for the nine months, compared with $7.3 million and $20.3 million, respectively, primarily because of higher variable interest rates and debt incurred to finance montratec. Third-quarter net income also reflected a $4.6 million pension settlement charge in other expense.

Cash flow, debt and liquidity

  • Cash, cash equivalents and restricted cash were $103.2 million at December 31, 2023, down $30.2 million from March 31, 2023. Cash and cash equivalents alone were $102.9 million.
  • Operating cash flow was $28.6 million for the first nine months, compared with $16.9 million in the prior-year period. Working-capital investment, including increases in receivables and inventories, reduced operating cash flow by $44.2 million.
  • Investing cash flow was negative $126.0 million, including $108.1 million for the montratec acquisition and $16.3 million of capital expenditures.
  • Financing cash flow was positive $67.8 million, including $120.0 million of long-term debt issuance, partly offset by $40.4 million of debt repayments, $6.0 million of dividends and $2.9 million of financing fees.
  • At December 31, 2023, the Term Loan B principal balance was approximately $497.6 million, the accounts-receivable securitization facility had $45.0 million drawn, and finance lease obligations were $13.1 million. No borrowings were outstanding under the revolving credit facility, although $15.7 million of letters of credit were outstanding.
  • The company expects to make approximately $50 million of total Term Loan B principal payments over the next 12 months, including $6.1 million of required payments and any applicable excess-cash-flow payments.
  • Management believes cash on hand, operating cash flow and available borrowing capacity will fund operations, debt obligations and capital expenditures for at least the next 12 months, subject to execution of its business plan and effective working-capital management.

Material changes versus the prior comparable period

  • Revenue increased, led by montratec, pricing and favorable currency translation; reported volume was flat to slightly unfavorable.
  • Gross margin expanded 130 basis points in the quarter and 70 basis points for the nine months.
  • Net income declined in the quarter despite higher operating income, primarily due to higher interest expense and the $4.6 million pension settlement charge.
  • Debt increased materially to fund montratec, while interest costs rose because of higher rates and increased borrowings.
  • Goodwill increased from $644.6 million at March 31, 2023 to $728.4 million, principally from $78.9 million of montratec goodwill and currency translation. Identifiable intangible assets increased to $396.3 million.
  • The company increased research and development spending to support new-product development and continued implementation of its Columbus McKinnon Business System.

Guidance, outlook, risks and unusual items

  • Fiscal 2024 capital expenditures are expected to be $30 million to $35 million.
  • Management estimates a fiscal 2024 effective tax rate of approximately 24% to 26%.
  • Management expects approximately $6.9 million of pension-plan contributions in fiscal 2024 and expects to complete termination of the affected U.S. pension plan in fiscal 2025, which may result in another settlement charge.
  • Management expects approximately $30 million of annual amortization expense over each of the next five years based on current intangible assets and exchange rates.
  • Management states that inflation has generally been recovered through pricing, but future recovery of higher raw-material, freight and logistics costs is not assured.
  • Key risks include cyclicality and macroeconomic conditions, competition, acquisition integration, raw-material availability and pricing, tariffs, interest rates, foreign-exchange movements, leverage and covenant compliance, international operations, product liability, litigation, environmental compliance, cybersecurity and retention of qualified personnel.
  • The company reported no goodwill impairment indicators during the quarter. Future declines in revenue, margins or forecast cash flows, or higher discount rates, could result in impairment.
  • Recorded contingencies include approximately $6.4 million of probable and estimable net asbestos liability, $4.7 million of product-liability reserves, and $0.7 million of environmental reserves. Management does not expect currently known matters to materially affect liquidity, but future charges could materially affect earnings.
  • The company had no material changes to previously disclosed market risks, risk factors, legal proceedings or internal controls. Disclosure controls were determined to be effective as of December 31, 2023.

Most important facts for investors to verify

  • Whether pricing continues to offset raw-material, freight, labor and other inflationary costs without weakening demand or sales volume.
  • The effect of higher interest rates and increased leverage on earnings, cash flow and required debt repayments.
  • Progress toward the stated $30 million to $35 million fiscal 2024 capital-expenditure plan and approximately $50 million of planned Term Loan B repayments.
  • Working-capital trends, particularly the elevated inventory and receivables balances and their effect on operating cash flow.
  • Potential future pension termination charges, asbestos and product-liability costs, and outcomes of the disclosed Italian tax and Monsanto-related matters.
  • Whether goodwill and intangible-asset valuations remain supportable under changing operating forecasts and discount rates.
