Q3 net sales increased 3% year over year, while nine-month sales increased 6% reported and 7% on a constant-currency basis. Q3 footwear sales increased 11%, compared with 1% growth in apparel, accessories, and equipment. Wholesale sales increased 3% and direct-to-consumer sales increased 4% in Q3.

SG&A expense increased 10% in Q3 and 12% year to date, reaching 35.7% and 41.7% of sales, respectively, versus 33.4% and 39.2% in the comparable periods. Higher costs included omni-channel operations, demand creation, personnel, distribution, fulfillment, warehousing, information technology, and temporary outlet stores.

Net cash provided by operating activities was $22.2 million for the first nine months of 2023, compared with $328.1 million used in the prior-year period. Capital expenditures were $41.4 million, producing reported free cash flow of approximately negative $19.2 million before other considerations. At September 30, 2023, cash and cash equivalents were $213.3 million, short-term investments were $1.5 million, and inventory was $885.2 million. The company reported approximately $720 million of total liquidity, including available committed credit lines. No credit facility balances were outstanding, and the company was in compliance with applicable covenants. Total liabilities were $903.6 million, consisting primarily of operating lease liabilities and operating obligations; no material borrowings were outstanding.

Material Changes Versus Prior Comparable Period

  • Gross margin expanded 70 basis points in Q3 and 30 basis points year to date, primarily because of lower inbound freight costs. These benefits were partly offset by lower wholesale margins and increased DTC clearance and promotional activity.
  • Operating income declined 7% in Q3 and 17% year to date as SG&A growth more than offset sales and gross-profit growth.
  • U.S. operating income declined $13.7 million in Q3 and $57.5 million year to date, primarily because of higher SG&A and distribution costs.
  • International segment performance was mixed. Q3 Canada operating income increased $10.0 million and LAAP increased $2.7 million, while EMEA declined $1.4 million. For the first nine months, LAAP, EMEA, and Canada operating income increased, partially offsetting the U.S. decline.
  • Inventory declined 16% from September 30, 2022, reflecting lower purchases, earlier receipt and shipment of fall inventory, and clearance efforts. Accounts receivable increased to $686.8 million from $600.5 million a year earlier, while accounts payable declined to $162.2 million from $336.8 million.
  • Shares outstanding declined to 60.5 million from 62.1 million a year earlier. The company repurchased $144.6 million of stock during the first nine months and had $384.7 million remaining under its authorization at September 30, 2023.

Guidance, Outlook, Commentary, and Risks

The filing does not provide a clear quantitative full-year revenue or earnings guidance figure. Management expects consumer demand and wholesale customer caution to remain challenging through the balance of 2023 and into 2024, particularly in the U.S. and Korea. Inflation, higher interest rates, economic uncertainty, promotional activity, and shifts in discretionary spending are affecting demand.

Management expects inventory levels to normalize by year-end 2023. The company is reducing future purchases, using outlet and temporary outlet stores, and selectively using close-out sales to clear excess inventory. Storage, handling, and distribution-center pressures are expected to continue through the end of 2023 and ease as inventory normalizes in early 2024.

Lower ocean freight costs are expected to continue benefiting gross margin through the balance of 2023 and into early 2024. Management expects foreign-currency translation to have a modestly favorable effect for the remainder of 2023. Planned 2023 capital expenditures are approximately $60 million to $70 million.

Important risks include uncertain consumer and wholesale demand, order cancellations, excess inventory and markdowns, supply-chain and third-party logistics disruptions, foreign-exchange volatility, inflation, geopolitical tensions, cybersecurity and information-technology failures, changing product and environmental regulations, and increased costs or promotional pressure associated with eliminating intentionally added PFAS from apparel and footwear before the Fall 2024 season. The company also identifies potential impacts from weather, labor disruptions, tariffs, raw-material availability, and wholesale customer credit risk.

Litigation and regulatory matters are described as arising in the ordinary course, and management does not believe their ultimate resolution will materially affect financial position, results of operations, or cash flows. Disclosure controls were evaluated as effective, with no material changes in internal control over financial reporting during the quarter.

Facts Investors Should Verify

  • Whether inventory reaches the targeted normalized level by year-end without additional material markdowns, write-downs, or carrying costs.
  • Whether lower freight costs and pricing actions offset promotional pressure and declining channel profitability.
  • Whether SG&A, corporate expenses, and distribution costs moderate sufficiently to restore operating-margin expansion.
  • How much Q4 sales and cash generation depend on seasonal wholesale collections, holiday DTC demand, and favorable weather.
  • Whether the U.S. and Korea demand softness persists and whether Canada, China, and Europe can sustain growth.
  • The effect of PFAS-related product transitions, regulatory requirements, currency movements, and geopolitical developments on 2024 sales, inventory, and margins.
  • The sustainability of share repurchases and dividends given year-to-date operating cash flow and planned capital expenditures.
