CorVel Corporation — Form 10-Q Summary

Reporting period: The filing covers the quarter and nine months ended December 31, 2012 (fiscal 2013 third quarter), compared with the corresponding 2011 periods. This differs from the request metadata label “2011 Q3”; the filing itself identifies the period as December 31, 2012.

Business context and financial performance

Quarterly revenue growth was led by patient management, which represented 51.8% of revenue versus 48.4% a year earlier; network solutions represented 48.2%. For the nine-month period, patient management revenue rose 11% to about $163 million, while network solutions revenue declined 4% to about $155 million. Nine-month cost of revenue grew 5.8%, faster than revenue, contributing to lower gross profit and margins. General and administrative expense fell 5.0% in the quarter and 3.6% year to date.

Cash flow, liquidity, and capital

  • Operating cash flow was $43.6 million for the nine months, versus $28.0 million a year earlier. Management attributed much of the increase to the prior-year $9 million legal-settlement payment and improved working-capital movements.
  • Investing cash outflow was $9.2 million, mainly property and equipment purchases, compared with $16.8 million in the prior-year period. Financing cash outflow was $20.2 million, including $23.7 million of treasury-stock purchases.
  • Cash and cash equivalents were $20.8 million at December 31, 2012, versus $6.6 million at March 31, 2012. Working capital was $39.3 million. Days sales outstanding declined from 43 to 37.
  • The company reported no debt outstanding. Its revolving credit facility provides up to $10 million and expires in September 2013; no revolver borrowings were outstanding. The filing says $8 million of letters of credit were issued separately and do not reduce borrowing availability.
  • For the quarter, CorVel repurchased 395,096 shares for $16.7 million; for the nine months, it repurchased 554,042 shares for $23.7 million. After quarter-end through January 29, 2013, it repurchased another 51,710 shares for $2.279 million.

Changes, outlook, risks, and unusual items

  • Management said growth in lower-margin TPA services increased labor requirements; pharmacy costs also rose with prescription-processing volume. It expects TPA revenue to continue growing and warned margins may continue to decline unless operating efficiencies improve, prices rise, or higher-margin services grow.
  • Quarterly EPS benefited from higher pre-tax income and fewer weighted-average shares following repurchases. For the nine months, earnings and EPS declined despite revenue growth.
  • Management said cash from operations and employee option exercises should be sufficient for obligations, repurchases, new services, and development for at least 12 months. No specific revenue or earnings guidance was provided. Management cautioned that interim results are not necessarily indicative of full-year results.
  • Key disclosed risks include lower workers’ compensation claim volumes, customer losses or insourcing, competitive pricing, labor and pharmacy costs, regulatory changes, litigation exposure, and technology, data-security, and systems risks.
  • The Louisiana class-action settlement for $9 million received final approval and became final in January 2012; covered claims were released, with dismissal of related proceedings still being completed. The Illinois class settlement payments and court accounting were completed in 2012. Management expects other ordinary-course matters not to be material.
  • Subsequent events: in January, CorVel entered a three-year software-license agreement totaling $3.5 million, with the license period beginning April 1, 2013. The filing reports no impairment of goodwill, intangible assets, or other long-lived assets as of December 31, 2012.

Important facts for investors to verify

  • Confirm the period: the filing is for the quarter ended December 31, 2012, notwithstanding the “2011 Q3” request label.
  • Track gross-margin performance and whether TPA growth can be delivered without continued margin erosion.
  • Assess whether lower network-solutions revenue, particularly lower volume in higher-priced services, persists.
  • Review cash conversion, receivables and customer-deposit movements, and the September 2013 credit-facility renewal; the filing provides no debt outstanding at period-end.
  • Monitor ongoing share repurchases, remaining program authorization, and the cost and timing of the software-license commitment.
  • Follow completion of dismissals related to the Louisiana settlement and any developments in other litigation or regulatory matters.
