Casella Waste Systems, Inc. — Form 10-Q Summary
Business context and reporting period
Casella provides integrated solid-waste collection, transfer, disposal, recycling, organics and related services, primarily in the northeastern United States. This unaudited report covers the three months ended July 31, 2014, compared with the three months ended July 31, 2013. It was the first quarter of an eight-month transition period: the company changed its fiscal year-end from April 30 to December 31, effective for fiscal 2015.
Financial and operating highlights
Unless noted otherwise, amounts below are in millions of dollars.
| Metric | Three months ended July 31, 2014 | Prior comparable period |
|---|---|---|
| Revenue | $141.4 | $128.6 |
| Operating income | $9.3; 6.6% of revenue | $9.7; 7.6% of revenue |
| Net loss | $0.2 | $0.2 |
| Net loss attributable to common stockholders | $0.3; $0.01 per share | $0.2; approximately $0.00 per share |
| Operating cash flow | $13.6 | $19.5 |
| Investing cash flow | $(17.7) | $(18.4) |
| Financing cash flow | $4.2 | $0.2 |
- Revenue grew 10.0%, or $12.8 million. Management attributed growth to higher solid-waste volumes, acquisitions, growth in Customer Solutions and Organics, and improved recycling commodity pricing and volumes.
- Operating expenses rose to $132.0 million from $118.8 million. Cost of operations increased $10.3 million; as a share of revenue it rose to 69.9% from 68.9%. Operating income declined despite higher revenue.
- Interest expense was $9.6 million, up from $9.4 million. Income before tax from continuing operations was $0.1 million; the $0.3 million tax provision contributed to the continuing-operations loss.
- Capital expenditures were $16.9 million. Cash and cash equivalents were $2.6 million at July 31, versus $2.5 million at April 30.
- At July 31, total debt and capital leases were approximately $512.1 million, including $0.9 million current maturities. Stockholders’ deficit was $7.6 million.
- The $227.5 million revolving facility had $57.3 million available after $32.2 million of letters of credit; no amount was drawn at July 31. The company reported compliance with its credit-facility and note covenants.
Changes versus the prior period
- Revenue gains were strongest in disposal and Customer Solutions. Solid-waste operations contributed $6.6 million of growth; disposal volume increased, while a landfill closure reduced revenue by $0.9 million.
- Operating margin contracted as direct operating costs, maintenance, labor and depreciation increased. Western Region operating income improved by $0.8 million, while Eastern Region income fell $0.3 million; Recycling recorded a $0.1 million operating loss and Other operating income declined $0.8 million.
- Operating cash flow fell $5.9 million, primarily because working-capital changes used $7.3 million of cash, compared with a $0.4 million use in the prior period. Higher borrowings helped supplement cash flow.
- BioFuels, sold in 2013, contributed no revenue in the current quarter; the prior-period results included $3.3 million revenue and a $0.4 million disposal loss. The comparative net loss therefore also reflects discontinued operations.
Outlook, risks, contingencies and unusual items
- The filing gives no specific revenue, earnings or cash-flow guidance. Management describes liquidity management and capital needs, but cautions that interim results may not indicate results for other periods. Operations are seasonal, with historically higher transfer and disposal revenues in late spring through early fall.
- Management identifies risks including regional economic conditions, severe weather, fuel and recyclable-commodity prices, landfill capacity and permitting, debt service, and environmental and regulatory matters. A 100-basis-point change in variable borrowing rates would change quarterly interest expense by approximately $0.4 million. Management estimated a 10% commodity-price change would have affected quarterly operating income by about $0.4 million.
- Southbridge landfill remediation remains an important contingency. The company estimates total remediation costs of about $2.3 million, potentially higher, and considers a net loss of $0.5 million to $2.3 million probable after expected insurance and third-party recoveries. It recorded a $0.1 million charge this quarter, in addition to $0.4 million recorded in fiscal 2014.
- For the Greenwood Street Landfill matter, the Massachusetts regulator proposed penalties and a supplemental environmental project; the company considered a loss probable and recorded a $0.2 million charge. A New York Attorney General agreement requires changes to certain commercial contracts and a $0.1 million payment, which was charged in the quarter.
- The Potsdam remediation liability was $5.4 million at July 31; the company notes its costs could exceed estimates and does not assume future GM warrant proceeds will reduce its exposure. The Maine Energy decommissioning is expected to finish by October 2014; a gain of up to $1.6 million or a loss remains possible.
- The company had two $75 million forward-starting interest-rate derivatives, not designated as hedges, with a reported fair-value liability of $2.3 million. It had no commodity hedge contracts at July 31.
- New revenue-recognition and discontinued-operations accounting standards were pending adoption; management was assessing the revenue standard’s impact. The filing reports no material change to previously disclosed risk factors and no material change in internal control over financial reporting.
