Financial results and liquidity
| Metric | 2020 | 2019 |
|---|---|---|
| Total revenue | $55.8 million | $26.9 million |
| Operating expenses | $149.8 million | $125.7 million |
| Operating loss | $93.9 million | $98.9 million |
| Net loss | $127.3 million | $121.7 million |
| Net loss per share, diluted | $1.97 | $2.11 |
| Cash provided by (used in) operating activities | $8.9 million | $(90.9) million |
- Revenue increased mainly because of $36.5 million of license revenue allocated to the 2020 RTW transactions and $2.8 million of milestone revenue, partly offset by lower collaboration reimbursements. The company reported no product-sale revenue or royalty revenue.
- R&D expense rose to $97.0 million from $86.1 million, chiefly due to METEORIC-HF, cardiac myosin inhibitor programs and reldesemtiv planning. G&A expense increased to $52.8 million from $39.6 million.
- Net loss widened despite a smaller operating loss, reflecting higher interest expense, including convertible-note costs and non-cash accretion of the royalty liability. The filing does not provide a meaningful product gross margin.
- Year-end cash and cash equivalents plus short-term investments were $464.1 million; including $37.0 million of long-term investments, cash and investments totaled approximately $501.0 million. Working capital was $443.0 million.
- Cash from operations included $87.0 million of deferred revenue from the sale of future mavacamten royalties; it should not be viewed as recurring operating cash generation. Investing cash outflow was $196.5 million and financing cash inflow was $234.1 million.
- Debt principal totaled $183.0 million: $45.0 million under a secured term loan and $138.0 million of 4.0% convertible notes due 2026. Their combined net carrying amount was $135.7 million. Separately, the RPI future-royalty liability was $166.1 million.
Material developments and outlook
- GALACTIC-HF met its primary composite endpoint: omecamtiv mecarbil reduced the risk of cardiovascular death or heart-failure events versus placebo (HR 0.92; 95% CI 0.86–0.99; p=0.025). It did not meet secondary endpoints, including cardiovascular death. Regulatory approval is uncertain.
- Amgen elected to terminate its collaboration, effective May 20, 2021, with omecamtiv mecarbil and CK-136 rights expected to return to Cytokinetics. Servier also elected to terminate its European sublicense, effective March 18, 2021. The company expects higher development, regulatory and commercialization costs and loss of partner support, and is evaluating new collaborations.
- CK-274’s REDWOOD-HCM Phase 2 trial reported encouraging interim Cohort 1 measures; Cohort 2 enrollment and full results were expected in early and mid-2021, respectively. Ji Xing licensed CK-274 rights in China and Taiwan, providing a $25 million upfront payment and potential milestones and royalties.
- Under its revised Astellas arrangement, Cytokinetics assumed responsibility for reldesemtiv development; Astellas agreed to contribute up to $12 million toward one-third of eligible Phase 3 ALS trial costs. The planned COURAGE-ALS trial reflects post-hoc analyses from a Phase 2 trial that did not meet its prespecified primary endpoint.
- Management expected increased 2021 R&D and commercial-planning costs, including potential commercial supply and hiring. It stated that existing cash, cash equivalents, investments and investment income should fund projected requirements for at least 12 months. The filing text does not provide clear numerical 2021 revenue, R&D or G&A guidance.
- COVID-19 temporarily disrupted enrollment in REDWOOD-HCM and METEORIC-HF; enrollment resumed, but further delays and operational or financing impacts remained possible. The company has no manufacturing capacity and relies on contract manufacturers and clinical research organizations.
- The company raised approximately $188.9 million net through a July public offering and received $50 million from an RTW private stock placement. Shares outstanding increased to 71.0 million at year-end from 59.2 million a year earlier.
- Contractual obligations totaled $314.9 million, including $221.1 million of undiscounted operating lease payments, substantially associated with the planned Oyster Point facility. Management also disclosed relocation and potential holdover costs.
Investor verification priorities
- Confirm the Amgen and Servier transition status, resulting costs, and whether Cytokinetics secured development or commercialization partners.
- Review regulatory feedback on GALACTIC-HF, the proposed path for omecamtiv mecarbil, and outcomes from METEORIC-HF.
- Track REDWOOD-HCM and COURAGE-ALS progress, including trial enrollment, results and associated milestone or funding conditions.
- Assess cash use and financing needs against the 12-month liquidity statement, including the nonrecurring $87 million deferred-revenue inflow and planned commercial and facility spending.
- Examine debt service, potential dilution from convertible notes and equity awards, the RPI royalty burden, and the conditions attached to up to $90 million of potential RTW funding.
The financial statements received an unqualified audit opinion; management and the auditor reported effective internal control over financial reporting as of December 31, 2020. The company reported no material legal proceedings.
