DBV Technologies S.A. — Q3 2023 Form 10-Q
Reporting period: Quarter and nine months ended September 30, 2023. Financial figures below are in U.S. dollars; amounts are shown in millions unless noted.
Business context
DBV is a clinical-stage biopharmaceutical company developing Viaskin, a skin-patch platform for epicutaneous immunotherapy. Its lead program, Viaskin Peanut, is being studied in children with peanut allergy. The company had no product sales; reported operating income primarily reflected French research tax credits and collaboration-related income.
Financial results and liquidity
- Q3 operating income: $2.4 million, up 14% from $2.1 million in Q3 2022. Operating expenses: $20.6 million, up 3%. Net loss: $16.7 million, versus $17.3 million; loss per share was $0.17 versus $0.18.
- Nine-month operating income: $6.9 million, up 11%. Operating expenses: $71.4 million, up 10%. Net loss: $61.5 million, versus $57.0 million; loss per share was $0.65 versus $0.79.
- Nine-month R&D expense rose 3% to $47.4 million, reflecting higher clinical and personnel costs, partly offset by a $5.3 million reversal of a loss-at-completion provision related to the Nestlé collaboration study. G&A expense increased 30% to $22.3 million, including financing and planning costs and higher personnel and share-based compensation costs.
- Cash and cash equivalents: $149.1 million at September 30, down from $209.2 million at December 31, 2022. Operating cash use was $66.0 million, compared with $31.8 million in the prior-year period; financing provided $7.0 million, primarily from the 2023 ATM issuance.
- Total liabilities were $45.8 million; the company reported no bank debt. Management stated that cash at period-end was expected to fund operations for at least the next 12 months based on current operations, plans, and assumptions. No profit margin is meaningful given the absence of product sales and continuing operating losses.
Changes, outlook and key developments
- Year-to-date losses increased 8% even as loss per share declined, reflecting a higher weighted-average share count. Cash used in operations more than doubled, although the filing attributes much of the prior-year comparison to receipt in 2022 of research tax credits for earlier fiscal years.
- VITESSE, the Phase 3 study of modified Viaskin Peanut in children ages 4–7, was ongoing. The company expected final-patient screening in the first half of 2024 and topline results in the first half of 2025.
- The FDA confirmed EPITOPE met its pre-specified primary-endpoint success criteria and did not request another efficacy study for toddlers ages 1–3, but requires additional safety data for a potential BLA. The FDA agreed to a six-month COMFORT Toddlers study of approximately 400 subjects; a separate COMFORT Children study is also planned. Both studies are to assess patch adhesion.
- After the quarter, DBV and Nestlé Health Science agreed, effective October 30, 2023, to terminate their collaboration and the Phase 2 study. Upfront and milestones 1–3 remain definitively acquired by DBV. The company said other contractual and accounting effects were still being assessed for the year-end accounts.
- DBV disclosed no material legal proceedings and no material changes to previously reported risk factors. It warned that it may need additional financing and cannot assure it will obtain funding on acceptable terms; failure could require reduced or delayed development activity or arrangements that surrender product rights. The ATM program permits up to $100 million in gross sales, subject to its terms and registration period.
Important facts for investors to verify
- Whether cash, operating spend, and potential financing needs remain consistent with management’s stated minimum 12-month funding expectation.
- VITESSE enrollment and the projected 2025 topline-results timing, plus the scope, enrollment, and progress of both COMFORT safety studies.
- The financial and contractual consequences of terminating the Nestlé collaboration, including any year-end accounting adjustments.
- Potential dilution: the filing lists 28.3 million prefunded warrant shares excluded from diluted loss per share as anti-dilutive, in addition to options, RSUs, and other warrants.
- Any material FDA feedback, BLA timing, or changes to regulatory requirements; the filing does not provide a clear BLA submission date.
