- Q3 revenue grew 13.9%; nine-month revenue grew 10.9%. Growth hardware revenue rose 26.8% in Q3 and 30.2% for the nine-month period, driven mainly by cellular routers, gateways, and RF and embedded modules. Mature hardware declined 3.7% over nine months, while service revenue declined 12.3%.
- Q3 operating results improved largely with higher gross profit. Nine-month gross margin fell to 45.6%, principally reflecting a mix shift toward lower-margin growth products, larger-volume customer sales, and additional costs following a subcontract-manufacturer fire.
- At June 30, cash and cash equivalents were $53.8 million and marketable securities were $47.0 million, including $9.5 million classified long-term. Working capital was $135.5 million. Total liabilities were $23.1 million; the balance sheet reports no debt or borrowings.
- Nine-month investing cash outflow was $5.0 million and financing cash inflow was $4.7 million. Cash increased $6.3 million to $53.8 million. Capital expenditures were $3.9 million through June; full-year fiscal 2015 spending was expected to be approximately $4.4 million.
Changes, outlook, and notable items
- Management attributed revenue growth primarily to higher volume, including large purchases by certain customers. It expects mature-product revenue generally to decline and service revenue to fluctuate. Management said it expects positive operating cash flow and believes available liquidity, operating cash generation, and financing capacity can fund operations and capital spending for the next 12 months and beyond.
- Management expects to pursue larger, longer-term opportunities, which may further pressure hardware margins. Q3 service margin improved to 23.7% from 9.5%, attributed to better consulting-labor utilization after restructuring; management cautioned that service margins will vary with utilization.
- Q3 included $0.4 million of property and casualty insurance proceeds recorded in other income and $0.3 million of business-interruption insurance proceeds that lifted gross margin by 0.5 percentage points. The company said Q3 net income included $0.3 million of after-tax property-insurance proceeds and $0.4 million of period-specific tax benefits. Nine-month other income also reflected insurance gains and foreign-currency transaction gains.
- Nine-month tax provision was $0.8 million, compared with a $1.5 million tax benefit in the prior-year period. Current-period discrete tax benefits included R&D-credit reinstatement and tax-reserve reversals, partly offset by other tax adjustments. The company reported $1.5 million of unrecognized tax benefits and approximately $28.8 million of undistributed foreign earnings for which it had not accrued additional U.S. tax.
- The company had $100.8 million in cash, cash equivalents, and marketable securities including long-term securities; approximately $31.5 million of cash and cash equivalents was held by foreign subsidiaries. It estimated an unrecognized deferred tax liability of $0.9 million to $1.9 million if it repatriated additional foreign earnings.
- A $15 million share-repurchase authorization runs through October 31, 2015; no purchases were made under it in the first nine months of fiscal 2015. The company repurchased $2.3 million of shares in October 2014 under the prior program.
- The annual goodwill test at June 30 indicated no impairment; estimated fair value exceeded carrying value by 19%, using a 35% control premium. Management warned that a sustained share-price decline or lower control premium could trigger further testing and potentially an impairment charge.
- Disclosure controls and procedures were deemed ineffective due to a material weakness in controls over income-tax balances and related reconciliations. Remediation efforts were underway, including outside tax support and enhanced review controls; management said effectiveness remained subject to validation.
- Risks discussed include competition and technology change, reliance on distributors, product and integration risks, customer and supplier financial conditions, restructuring and employee retention, foreign-exchange exposure, and investment-security credit or impairment risk. Revenue was adversely affected by currency translation by $1.1 million in Q3 and $2.7 million for nine months; the company had no formal currency-hedging strategy. No material risk-factor changes or legal proceedings were reported.
