International markets also faced geopolitical and macroeconomic softness of uncertain duration. Results are affected by the 2021 divestitures of Classifieds and 80.01% of eBay Korea; their prior-period results are presented as discontinued operations.

Material changes and financial position
- The $2.291 billion net loss on equity investments and warrant, versus a $36 million loss a year earlier, included a $1.643 billion fair-value loss on Adevinta, $182 million on Gmarket, and losses relating to Adyen, KakaoBank and the Adyen warrant. This non-operating item drove the reported net loss despite positive operating income.
- Revenue and GMV declined amid lower traffic and international softness. Completed global migration to managed payments supported the higher take rate and partly offset the decline in transaction revenues; the filing also reports higher payment-processing costs as the platform scaled.
- Sales and marketing expense fell 13%, while cost of net revenues increased 14%. Provision for transaction losses rose 9%, primarily reflecting higher managed-payments chargebacks and customer-protection costs.
- Cash from continuing investing activities was $1.772 billion, largely reflecting investment maturities and sales, partly offset by investment purchases. Continuing financing used $1.952 billion, including $1.069 billion of cash share repurchases, $750 million of debt repayment and $129 million of dividends. The company reported $1.25 billion of Q1 repurchases, including unsettled shares.
- At March 31, cash, cash equivalents and short- and long-term non-equity investments totaled $6.3 billion, compared with $7.3 billion at year-end. Total assets were $22.980 billion, down from $26.626 billion, including a decline in the Adevinta investment carrying value from $5.391 billion to $3.748 billion.
Outlook, risks and unusual items
- Management expected lower traffic in most markets to continue through the first half of 2022 and said the duration of international geopolitical and macroeconomic softness was uncertain. The filing provides no numerical revenue or earnings guidance.
- Management said available cash and investments, operating cash generation, borrowing capacity and capital-market access should be sufficient for material cash needs over the next 12 months and foreseeable future, while cautioning that economic and market disruptions could affect the business, liquidity and financing costs.
- eBay had no commercial paper outstanding and no borrowings under its $2 billion revolving credit facility at quarter-end; it reported compliance with debt covenants. After quarter-end, it redeemed an additional $605 million of 2022 notes.
- Legal and regulatory matters include U.S. Department of Justice inquiries concerning products sold on the Marketplace that allegedly violate certain laws and regulations. eBay said it could not estimate potential losses; an adverse outcome could require monetary damages or business-practice changes. Recorded legal accruals and reasonably possible direct monetary losses above accruals were described as not material at the filing date.
- Investment and market risks are significant: a hypothetical 100-basis-point rate increase would reduce investment fair value by $38 million, and a $1 change in Adevinta’s share price would change the investment’s fair value by about $405 million, holding other factors constant. The filing reported no material change in risk factors from the 2021 Form 10-K.
- The board authorized an additional $4 billion repurchase program in February 2022; approximately $4.7 billion remained authorized at March 31. Management expected to continue repurchases subject to market conditions and other uncertainties. A May 2022 dividend of $0.22 per share was declared for payment in June.
Key facts for investors to verify
- Whether traffic, GMV and international-market trends improved after Q1, and whether management’s expected first-half traffic softness persisted.
- How much of the exceptionally large investment-related loss was attributable to market-price movements, and how changes in Adevinta, Gmarket, Adyen and other holdings affect future reported earnings.
- Whether the higher managed-payments take rate continues to offset volume pressure and whether payment-processing and transaction-loss costs stabilize.
- Current cash and investment balances, debt maturities and liquidity following the subsequent $605 million note redemption and continued repurchases and dividends.
- Developments in the DOJ inquiries, tax examinations and other legal or regulatory matters, including any outcomes that could require costly changes to Marketplace practices.
