Consolidated operating margin was approximately 7.5%, compared with 5.8% in Q1 2023; net margin was approximately 3.1%, compared with 2.6%.

Segments and material changes

  • EFT Processing: Revenue increased 13% to $217.2 million and operating income rose to $21.5 million from $6.9 million. Transaction volume increased 36%. Management attributed the improvement to higher cash withdrawals associated with travel and more low-value transactions; lower professional fees and a duty-fee refund also lifted operating income.
  • epay: Revenue increased 8% to $257.1 million, while operating income declined 3% to $26.6 million. Growth in mobile and digital branded payments was offset by higher costs, transaction-mix changes and fewer retail promotional campaigns than in the prior-year quarter.
  • Money Transfer: Revenue increased 7% to $384.6 million and operating income rose 14% to $37.2 million. Transactions grew 8%; growth in international-originated, U.S. outbound and digital transfers was partly offset by lower U.S. domestic transactions.

Interest expense increased to $14.9 million from $10.1 million, and net foreign-exchange losses rose to $12.5 million from $1.1 million. These items partly offset operating growth. The effective tax rate declined to 37.9% from 46.5%, but remained above the 21% statutory rate, mainly due to U.S. deferred tax activity and foreign earnings taxed at higher local rates.

Cash, liquidity and debt

At March 31, 2024, current assets were $3.93 billion and current liabilities were $2.96 billion; working capital was $970.7 million, down from $1.46 billion at year-end 2023. The current ratio declined to 1.33 from 1.54. Management attributed the working-capital decrease partly to debt reclassification, the acquisition and working-capital movements.

Cash and cash equivalents were $1.236 billion, including $599.7 million designated for ATM use. Cash, cash equivalents and restricted cash totaled $2.214 billion, a decrease of $32.7 million during the quarter. The latter total includes ATM and settlement cash and should not be interpreted as unrestricted cash. Euronet reported $579.0 million available under its $1.25 billion revolving credit facility.

Total debt obligations were $1.942 billion before $7.6 million of unamortized issuance costs. They included $619.5 million drawn on the revolving facility, $525.0 million of 0.75% convertible notes, $646.9 million of 1.375% senior notes due 2026, and a $150.0 million uncommitted loan for ATM vault cash. The uncommitted loan expires no later than June 21, 2024. The company said it was in compliance with debt covenants at quarter-end.

Operating cash flow was $30.0 million. Investing outflow included $69.4 million for acquisitions, net of cash acquired, and $23.8 million of property and equipment purchases. The cash-flow statement reports $81.3 million provided by financing activities, including net credit-agreement borrowings.

Outlook, risks and unusual items

  • Management estimated 2024 capital expenditures of approximately $90–$100 million and expects operating cash flow, cash on hand and available financing to cover debt, lease and capital expenditure obligations. No specific earnings or revenue guidance was provided.
  • On February 1, 2024, Euronet acquired Infinitium Group for $70.0 million cash and $5.0 million of company stock payable in installments in 2026 and 2027. The preliminary allocation included $51.0 million of customer relationships and $18.4 million of goodwill.
  • Foreign-currency translation reduced comprehensive income by $45.0 million in Q1, versus a $20.8 million gain in Q1 2023. Management estimates a 10% exchange-rate fluctuation could affect annualized reported net income and working capital by approximately $120–$130 million, and total comprehensive income by approximately $90–$100 million.
  • Risks discussed include foreign exchange and interest-rate movements, inflation, economic and geopolitical conditions, regulation and licensing, competition, cybersecurity and service interruptions, contract renewals, and acquisition integration. Management reported no legal or regulatory proceedings it believes would have a material adverse effect and no material changes to previously disclosed risk factors.
  • Commitments include $80.0 million of standby letters of credit and bank guarantees, $10.7 million of off-balance-sheet ATM cash guarantees and approximately $73.3 million of customer performance guarantees. No related liabilities were recorded; the company reported no significant claims to date.

Important facts for investors to verify

  • Reconcile a narrative inconsistency: MD&A describes $81.3 million of financing cash flow as “used,” while the cash-flow statement reports $81.3 million “provided.”
  • Track the current classification of debt, particularly the $525.0 million convertible notes that holders may require the company to repurchase on March 15, 2025, and the $150.0 million uncommitted loan due by June 21, 2024.
  • Assess cash availability separately from ATM, restricted and settlement balances, and monitor revolver capacity, interest costs and covenant compliance.
  • Monitor whether segment revenue growth converts into sustained operating-margin improvement, particularly in epay, and whether Q1 foreign-exchange losses and translation effects persist.
  • Review the completion and integration of the Infinitium acquisition, its final purchase-price allocation and the company’s progress against its $90–$100 million capex estimate.
