Outlook, commentary, risks and unusual items

  • Management estimated 2020 capital expenditures of approximately $145–150 million and said expected operating cash flow, cash on hand and available financing should meet obligations and planned spending. No specific earnings or revenue guidance is provided.
  • The 2019 effective tax rate was 20.1%, including a $25.7 million reduction in U.S. Tax Reform expense after the company elected to claim foreign tax credits. Management’s adjusted effective rate was 28.1%.
  • Foreign-currency exposure is significant: 74% of revenue was generated outside the U.S. Management estimated a 10% exchange-rate fluctuation could affect reported net income and working capital by approximately $77–82 million, and comprehensive income by approximately $140–145 million.
  • Key risks include changes in ATM interchange fees and DCC rules, competition and contract renewals, money-transfer licensing and anti-money-laundering compliance, cybersecurity and service interruptions, agent/correspondent credit exposure, access to ATM cash supply, acquisitions, Brexit-related licensing, and foreign-exchange movements. The company noted that new EU DCC disclosures take effect in April 2020.
  • The filing discussed COVID-19 uncertainty as of February 28, 2020; management then did not expect a material adverse effect, while acknowledging the impact could not be predicted. No legal or regulatory proceeding was identified as material by management.
  • Cash of $1.504 billion was held outside the U.S. and expected to remain indefinitely reinvested; repatriation could have adverse tax consequences. The company paid no dividends and stated it did not plan to do so in the foreseeable future.
