At year-end, credit-facility borrowings were approximately $2.3 million, and the $795,000 PPP loan remained outstanding. The company reported $1.7 million of additional availability under its two asset-based facilities. The facilities are secured by company assets; the inventory facility’s annualized rate was 23.6% at year-end, including applicable fees. The PPP principal and interest were forgiven on February 11, 2021, with forgiveness income to be recorded in 2021. Management said further external financing would likely be needed during 2021.

Changes versus 2019

  • Sales rose 32.5%, primarily as military maritime (MMM) sales increased 136.6% to $11.42 million. Commercial sales fell 31.4% to $5.40 million amid COVID-related project delays.
  • Gross margin improved to 30.8% from 15.5%, reflecting sales mix and plant efficiencies. Management also cited favorable material and labor variances of $0.9 million and favorable inventory-reserve effects of $0.6 million.
  • Net loss narrowed by about $1.4 million, although operating expenses rose modestly. Operating cash use also declined substantially year over year.
  • Customer concentration increased: two customers represented 62% of 2020 sales; sales related to the U.S. Navy represented about 53%, versus 23% in 2019.

Outlook, commentary and risks

Management plans to pursue profitability through EnFocus dimming and color-tuning products, planned 2021 sales of its three announced UVCD products, expanded sales channels and cost discipline. It expects commercial demand could recover as building occupancy and capital spending improve, but provided no quantified revenue or earnings guidance. The timing of recovery and product adoption remains uncertain.

The auditor’s report highlights substantial doubt about the company’s ability to continue as a going concern, citing recurring losses and negative operating cash flows. Management believes its financing plans, liquidity, cost actions and product and sales initiatives could fund operations through 2021 if executed, but acknowledges financing may not be available on acceptable terms or at all.

  • COVID-19 delayed commercial retrofit projects and may continue to disrupt customers, suppliers and logistics.
  • Dependence on a small number of customers and suppliers, aggressive price competition, long sales cycles and uncertain new-product acceptance pose material risks.
  • The company had $8.0 million of outstanding inventory purchase commitments at year-end, including $4.8 million expected to ship in the first quarter of 2021.
  • A $1.1 million non-cash loss from warrant remeasurement and a $276,000 debt-extinguishment loss weighed on 2020 results. Warrants were modified and reclassified to equity in December.
  • Nasdaq conditionally confirmed in January 2021 that the company had regained compliance with its minimum-stockholders’-equity requirement. The company had also completed a 1-for-5 reverse stock split in June 2020.

Important facts for investors to verify

  • Post-year-end cash, borrowing availability and eligible receivables and inventory; cash was approximately $0.8 million as of February 28, 2021.

  • Whether commercial retrofit demand recovers and EnFocus and UVCD products achieve customer acceptance and meaningful sales.
  • Whether inventory reserves and purchase commitments remain appropriate given demand forecasts and product launches.
