Liquidity, debt and balance sheet

At September 30, cash and equivalents were $22.5 million, working capital was $62.5 million, total assets were $183.0 million, and stockholders’ equity was $53.0 million. Cash declined $19.5 million from year-end 2014. The company had $17.0 million outstanding under its $50 million revolving credit facility and reported $22.0 million of net availability. It was in compliance with facility covenants. The facility matures November 7, 2016 and requires at least $15 million of liquidity, including $5 million of undrawn availability.

Accounts receivable rose to $75.3 million from $45.1 million and inventory to $36.7 million from $21.6 million. Total warranty obligations were $32.8 million, including $6.6 million current. The nine-month operating cash outflow was driven principally by working-capital investment, including a $30.5 million increase in receivables and $15.1 million increase in inventory.

Changes and management commentary

  • Revenue increased 4% in Q3 and 22% year to date. Unit shipments rose to 950,000 from 760,000 in Q3, and to 2.528 million from 1.781 million year to date. Revenue growth lagged shipment growth as average selling price per watt fell approximately 18% in Q3 and 14% year to date.
  • Gross margin declined 2.2 percentage points in Q3 and 1.0 point year to date. Management attributed the pressure to selling prices declining faster than product costs; lower warranty expense as a share of revenue partly offset the decline.
  • Management expects average selling prices to continue declining, and product costs to decline as well; the timing of cost reductions relative to price reductions will affect margins. No specific full-year financial guidance is provided in the filing text.
  • Management believed cash, together with expected Revolver availability, would fund working capital, capital purchases, commitments and operations for at least 12 months. It noted that additional financing might be needed and could be unavailable on acceptable terms.

Risks, contingencies and unusual items

  • The company reported a nine-month net loss and an accumulated deficit of $167.3 million; it cautioned that losses may continue and profitability is not assured.
  • CED Greentech and Vivint Solar accounted for 17% and 13% of nine-month revenue, respectively. The filing notes Vivint’s multi-sourcing strategy and identifies major-customer loss or reduced purchasing as a risk.
  • Solar demand, competitive pricing, falling selling prices, government incentives and policy changes, and customer financing availability could affect sales and margins. The filing also highlights reliance on contract manufacturers and key suppliers, product reliability and long-duration warranty exposure.
  • Warranty estimate changes added $0.7 million to nine-month warranty obligations; management cited higher projected replacement costs. A $1.6 million reduction in acquisition-related contingent consideration was recorded as a gain in sales and marketing expense, reflecting revised revenue-probability estimates.
  • No material legal proceedings or off-balance-sheet arrangements were reported. Disclosure controls were judged effective at the reasonable-assurance level, with no material internal-control changes reported during the quarter.

Important facts for investors to verify

  1. Whether subsequent quarters show operating cash recovery and improved collection of the sharply increased receivables.
  2. Whether selling-price declines continue to outpace product cost reductions and pressure gross margin.
  3. Customer concentration and the effect of Vivint’s multi-sourcing strategy on future revenue.
  4. Revolver borrowing-base availability, liquidity-covenant headroom and refinancing needs before the November 2016 maturity.
  5. Future product failure, replacement-cost and warranty estimates, including the $32.8 million recorded obligation.
  6. How incentive-policy changes and market competition affect solar demand and pricing.
