Sales growth was led by higher volume across all segments: MC sales rose 29% to $266.6 million, AMH rose 33% to $198.1 million, and SCEM rose 18% to $196.4 million. Segment profit increased to $98.6 million for MC, $46.7 million for AMH, and $48.9 million for SCEM. Sales growth reflected strong demand, particularly for leading-edge semiconductor products; acquired-business sales contributed $5.4 million, while foreign-currency translation reduced sales by $9.7 million.
Management attributed improved gross margin to strong execution and higher volumes, partly offset by raw-material and logistics costs and modest labor inflation. SG&A rose to $87.1 million, including $5.0 million of deal and transaction costs and $3.0 million of donation costs. R&D increased 24% to $46.7 million, primarily due to employee costs and project materials. Interest expense included $4.7 million of ticking fees for acquisition financing. The effective tax rate was 13.7%.
Financial position and liquidity
- Cash and cash equivalents were $352.7 million at April 2, 2022, down from $402.6 million at year-end 2021. Working capital was $997.7 million.
- Debt was $945.0 million at par ($937.3 million carrying value); the revolving facility had no borrowings. The company reported compliance with applicable debt covenants.
- Operating cash flow was $63.8 million; investing cash outflow was $83.3 million, mainly reflecting $84.4 million of property and equipment purchases. Financing cash outflow was $27.6 million. Cash decreased $49.8 million during the quarter.
- Working-capital movements reduced operating cash flow by $108.0 million, primarily from increased inventory and receivables. Inventory rose to $545.6 million from $475.2 million at year-end.
- Management expected 2022 capital expenditures of approximately $500 million, about half for the new Taiwan facility. Capital-purchase obligations for equipment and construction not yet recorded were $324.1 million.
Material developments, outlook, and risks
- CMC Materials acquisition: The proposed cash-and-stock transaction had an enterprise value of approximately $6.5 billion and was expected to close in the second half of 2022, subject to customary conditions including antitrust clearance or approval in China, Japan, and Singapore. CMC shareholders were to receive $133 cash and 0.4506 Entegris shares per share, subject to the merger agreement.
- After quarter-end, on April 14, Entegris issued $1.6 billion of 4.75% senior secured notes due 2029 through an escrow subsidiary, with expected net proceeds of approximately $1.57 billion. The proceeds and additional committed financing and cash were intended to fund the acquisition, fees, debt repayment, and other stated purposes. If the acquisition does not close, the notes must be redeemed at par plus accrued interest.
- Management said existing cash and expected operating cash flows should meet ordinary-course needs for the next 12 months and longer term. The company did not provide a quantified sales or earnings forecast in this filing. It expected to incur approximately $33.4 million of term-loan ticking fees through the acquisition closing and approximately $55.3 million of 2022 interest expense on the new notes.
- COVID-19-related supply-chain constraints, higher freight costs, and delivery delays persisted. China’s Shanghai lockdown could defer demand. Russia-Ukraine-related supply effects had not been significant to date, but broader economic, logistics, commodity, currency, and cybersecurity impacts remained uncertain.
- Other risks include raw-material and labor constraints, pricing pressure, semiconductor-market cyclicality, customer concentration, dependence on limited-source suppliers, foreign-exchange exposure, and acquisition execution and financing risks. Ordinary-course legal matters were not expected to have a material adverse effect. Management reported effective disclosure controls and no material change in internal control over financial reporting.
Important facts for investors to verify
- CMC Materials closing status, required regulatory approvals, final financing mix, and resulting leverage and interest burden.
- Whether planned capital spending and the Taiwan facility remain on schedule, and how investment affects cash generation.
- Inventory, receivables, and working-capital trends, given their substantial use of cash during the quarter.
- Effects of supply constraints, logistics costs, Shanghai disruptions, and foreign-currency movements on sales and margins.
- Reconciliation and ongoing relevance of management’s non-GAAP measures; adjusted EBITDA was $206.2 million versus $150.1 million, and non-GAAP diluted EPS was $1.06 versus $0.70.
