Evotec SE — FY2023 Form 20-F
Reporting period: Fiscal year ended December 31, 2023; this filing reports full-year results, not standalone fourth-quarter results. The audited consolidated statements are prepared under IFRS and presented in euros. The 20-F was signed August 14, 2024.
Business context
Evotec is a drug discovery, development and manufacturing partner serving pharmaceutical and biotechnology companies. Revenue primarily comes from fee-for-service and FTE-based research, with additional potential from partner milestones, royalties and equity investments. At year-end, Evotec reported more than 140 pipeline assets and 5,160 employees.

Loan liabilities were approximately €437.1 million; lease liabilities were €189.1 million. The company reported net cash of negative €115.3 million using a measure that includes lease obligations. The filing states that loan covenants were met at December 31, 2023.
Material changes versus FY2022
- Revenue rose 4.0%, but operating results weakened to a loss and Adjusted EBITDA fell 35%, reflecting the cyberattack, lower development-market demand, higher personnel and facility costs, and investment in biologics capacity.
- Revenue from fee-for-service and FTE research increased, while milestone revenue declined to €4.8 million from €18.1 million.
- The April 2023 ransomware incident disrupted productivity, particularly in Q2 and parts of Q3. Evotec recorded €43.5 million of related costs, including €15.9 million of external costs and €26.5 million of internal costs.
- Operating cash flow was markedly lower than in 2022, which included a $200 million BMS prepayment. FY2023 cash flow also reflected the net loss and working-capital movements.
- The net loss improved from 2022, principally because the loss from investment revaluations was much smaller; it was not evidence of improved operating profitability. The 2023 operating loss was €47.5 million.
- Revenue concentration increased: the three largest customers generated 35% of revenue, versus 25% in 2022; the top ten generated 47%. BMS alone contributed €195.4 million, about 25% of group revenue.
Outlook, risks and unusual items
- Later FY2024 guidance in the filing: Revenue of €790–€820 million, Adjusted EBITDA of €15–€35 million, and unpartnered R&D expenditure of €50–€60 million. These ranges, updated August 6, 2024, are subsequent to the FY2023 reporting period and materially lower for EBITDA than the prior outlook.
- Management identified a strategic ambition to exceed 170 pipeline assets by the end of 2025 and expected royalties to become more meaningful over time; these are ambitions, not guaranteed outcomes.
- In 2024, Evotec announced footprint and activity changes, including exits or closures affecting gene therapy in Orth, chemistry in Marcy/Lyon, and operations in Halle. A €64.5 million restructuring provision was recognized as of June 30, 2024.
- After year-end, the company obtained waivers for certain net-debt covenant requirements for June and September 2024 testing periods, signed a €250 million syndicated facility, and said it expected to meet covenants in later periods.
- Internal control over financial reporting was ineffective at December 31, 2023. Management identified material weaknesses in IT access controls and financial-process controls, including revenue recognition, manual journal entries, foreign-exchange rates, equity valuations, fixed assets and segment disclosures. The auditor issued an adverse opinion on internal control, while giving an unqualified opinion on the financial statements. Management said remediation was underway; success was not assured.
- The 20-F was filed after the prescribed deadline. The filing cites the cyber incident and internal-control weaknesses as significant reporting and operational concerns. It also identifies partner and pipeline execution, customer concentration, foreign exchange, funding needs, cybersecurity, regulatory compliance and the ability to realize returns from expansion and equity investments as risks.
Important facts for investors to verify
- Progress and independent validation of remediation of the material weaknesses, and whether subsequent financial reporting controls operate effectively.
- Cyber recovery status, remaining costs, insurance reimbursements, and any continuing effects on project delivery, revenue recognition or customer relationships.
- Actual FY2024 results against the updated guidance, including the drivers of the lower EBITDA outlook and the restructuring costs and savings.
- Liquidity after capital spending, upcoming debt maturities and covenant compliance; clarify leverage measures, including the treatment of lease liabilities.
- Customer concentration and the sustainability of BMS-related revenue, Sandoz-related biologics activity, and the Just-Evotec Biologics order book and path to profitability.
- Whether the planned capacity investments, including the Toulouse J.POD facility, achieve expected utilization and returns, and whether pipeline assets advance or generate milestone and royalty income.
