Total assets were $73.9 million and total liabilities $53.4 million at March 31. The $18 million East West Bank line is secured by subsidiary assets, personally guaranteed by a related party, and borrowings are due on demand. Its interest rate was 3.75%. The bank waived testing of a financial covenant for Q1; the filing reports noncompliance at year-end 2021, for which the bank had also provided a waiver. Operating cash outflow principally reflected lower accounts payable and increased related-party prepayments and receivables. IPO proceeds helped lift cash: net proceeds were approximately $12.4 million.

Changes and management commentary

  • Revenue growth was led by sanitaryware (+23.6%) and other products (+152.9%, including Jetcoat shower systems); bath furniture revenue fell 11.9% despite higher volume, due to mix and delayed shipments. U.S. and Canada revenue rose; Europe revenue declined 17.1%.
  • Gross margin fell 2.8 percentage points year over year, which management attributed mainly to higher raw-material and freight costs. Management said Q1 gross margin improved 277 basis points from Q4 2021 as mitigation measures began to take effect.
  • Operating expenses rose 25.8%, including higher selling costs tied to sales, logistics and business activity, and higher G&A from public-company costs and a one-time IPO bonus. Operating income declined 63.3%.
  • Other income swung from $1.53 million in Q1 2021 to a $0.03 million net expense in Q1 2022, largely because the prior-year period included forgiveness of a PPP loan. No formal numerical guidance is provided. Management expects margin expansion to resume in the second half of 2022 as cost-offset measures take hold; it also plans continued product innovation and growth in branded products and e-commerce.

Risks, contingencies and unusual matters

  • Concentration is significant: two customers represented 27.8% and 18.6% of Q1 revenue. Supplier Huida accounted for 45.3% of purchases and 70.2% of accounts payable at quarter-end.
  • FGI has a dispute with Huida in arbitration over the duration and termination of an exclusive distribution agreement. A separate Ayers Bath-related matter remains pending; the filing says management does not believe the legal matters are reasonably likely to have a material adverse effect, based on information available.
  • Management identifies supply-chain disruption, inflation and materials availability, COVID-19 effects, reliance on key suppliers and customers, international operations, and access to capital among the risks that could affect results.
  • Related-party prepayments and other receivables rose to $8.13 million from $3.12 million at year-end; the cash-flow statement reports a $4.20 million use of cash for related-party receivables. The filing also describes shared-services arrangements and other transactions with entities under common control.
  • Management concluded disclosure controls were effective at March 31, 2022; it reported no material change in internal control over financial reporting during the quarter.

Important facts for investors to verify

  • Reconcile the non-GAAP disclosures: the MD&A table reports adjusted net income of $720,689, while its detailed reconciliation reports $804,321. Adjusted operating margin is also shown as both 2.1% and 1.6%; the filing’s adjusted operating income of $923,058 divided by revenue implies approximately 2.1%.
  • Assess the sustainability and collectability of the growing related-party balances and the terms and economics of the related-party arrangements.
  • Monitor operating cash conversion, especially accounts-payable movements, and the company’s ability to meet demand obligations on its credit facility.
  • Evaluate exposure to Huida and major customers, including the outcome of the exclusivity arbitration and any resulting sourcing or business disruption.
  • Track whether margin recovery occurs as management expects, given ongoing freight, materials and supply-chain pressures and delayed customer orders.
