FY2022 revenue rose about 8% and net income attributable to Flex rose about 53%. Gross-margin improvement reflected stronger cost discipline, business mix, lower restructuring charges, and reduced direct COVID-19 impacts. Operating cash flow improved, but adjusted free cash flow declined. Inventory increased to $6.580 billion from $3.895 billion, and net working capital rose to $4.2 billion from $2.9 billion.
Segment sales and income: FAS revenue was $14.027 billion and segment income $605 million; FRS revenue was $10.603 billion and segment income $546 million; Nextracker revenue was $1.458 billion and segment income $90 million. Nextracker’s segment margin fell to 6.2% from 14.9%, primarily due to higher freight and logistics costs.
In Q4 FY2022, sales were $6.851 billion versus $6.266 billion a year earlier; gross profit was $505 million versus $509 million, operating income $228 million versus $282 million, and net income attributable to Flex $168 million versus $240 million.
Liquidity, capital allocation, and material changes
Year-end cash was $2.964 billion against $4.197 billion of debt; $949 million of debt was classified as current. The $2.0 billion revolving credit facility, maturing in January 2026, had no borrowings outstanding. Management said available liquidity and expected operating cash flows were adequate for commitments and operations for at least the next 12 months. Flex repurchased approximately $686 million of shares during FY2022; $496 million remained authorized under the current plan.
Flex acquired Anord Mardix, a critical-power solutions provider, for total consideration of $539 million. It also sold TPG Rise a 16.7% interest in Nextracker for $500 million gross proceeds ($487.5 million net of transaction costs), at an implied Nextracker valuation of $3.0 billion. Flex is evaluating a potential Nextracker IPO or other separation, but no transaction is assured.
Outlook, risks, contingencies, and unusual items
Management expected component shortages, supply constraints, and elevated logistics costs to persist in the near term, with continued working-capital pressure and time needed to reduce inventory. COVID-related restrictions had recently caused temporary closures or operating restrictions at some China facilities. Flex reported no material Ukraine-conflict impact to operations or financial performance as of the filing date, but said the broader effects remained uncertain. The filing provides no quantified earnings or revenue guidance.
FY2022 results included a $150 million non-cash Brazil tax-credit gain, usable to offset certain current and future tax obligations, and $61 million of equity-method investment earnings. These items contributed to reported earnings and should be distinguished from recurring operating performance. Restructuring charges were $15 million, versus $101 million in FY2021.
Material risks include component and logistics disruption, inflation and labor costs, customer order volatility and concentration, geopolitical and trade risks, COVID-19, and cyber and regulatory exposure. The ten largest customers generated 34% of FY2022 sales; no single customer exceeded 10%. Flex disclosed ongoing Brazilian tax assessments and an OFAC voluntary-disclosure matter for which penalties were reasonably possible and could be material. It also reported $282 million of unrecognized tax benefits. The financial-statement audit and internal-control audit opinions were unqualified; the internal-control assessment excluded Anord Mardix, which represented less than 1% of consolidated assets and sales.
