Glucotrack, Inc. — FY2023 Form 10-K
Reporting period: Fiscal year ended December 31, 2023. This is an annual report, not a standalone fourth-quarter report. Unless stated otherwise, financial statement amounts below are in thousands of U.S. dollars.
Business context
Glucotrack is a pre-commercial medical-device developer focused on diabetes monitoring. In 2023 it shifted from its non-invasive, point-in-time GlucoTrack product to developing an implantable continuous blood glucose monitor (CBGM) for people with Type 1 and insulin-dependent Type 2 diabetes. The company has withdrawn the earlier product’s CE Mark and is no longer pursuing its commercialization.
The CBGM is intended to provide long-term monitoring without a wearable component. A laboratory feasibility study supported the potential for at least two years of sensor life; an initial animal study completed in late 2023 reported at least three months of sensor life, safety in animals, and promising accuracy. These are preclinical results, not evidence of human performance or regulatory approval.
Financial results and liquidity
| Metric | FY2023 | FY2022 |
|---|---|---|
| Revenue | No material product revenue reported | No material product revenue reported |
| Research and development expense | $4,704 | $1,967 |
| General and administrative expense | $2,278 | $2,465 |
| Total operating expenses | $7,104 | $4,432 |
| Net loss | $7,097 | $4,435 |
| Basic and diluted loss per share | $0.38 | $0.29 |
| Net cash used in operating activities | $6,558 | $3,729 |
| Net cash provided by financing activities | $8,730 | $0 |
R&D expense rose substantially, primarily reflecting higher professional fees; management expects R&D spending to increase as development advances, subject to available financing. G&A expense declined, mainly due to lower stock-based compensation. Profit margins are not meaningful because the company has not commercialized its product and reports no material product revenue.
At year-end, cash and cash equivalents were $4.492 million, total current assets were $4.868 million, and current liabilities were $1.512 million. Total assets were $4.905 million, total liabilities $1.708 million, and stockholders’ equity $3.197 million. The company reported $196,000 of non-current stockholder loans; the filing does not report material repayments expected in the next 12 months. Operating cash use increased year over year. An April 2023 public offering generated approximately $10 million gross and $8.730 million net proceeds.
Accumulated deficit was $109.853 million. Management and the auditor stated that substantial doubt exists about the company’s ability to continue as a going concern: year-end cash was not expected to fund the company’s plans for the following 12 months, and additional financing is necessary but not assured. The financial statements include no adjustments for the outcome of this uncertainty.
Material changes, outlook, and risks
- Development outlook: The company reported that it began commercial-system design and development in Q4 2023, expected clinical-trial units from its manufacturing partner in late 2024, and targeted a first-in-human study in Q1 2025. It described a potential study of up to 30 patients at up to three U.S. centers, subject to regulatory decisions. These are targets, not assured milestones.
- Regulatory and commercial uncertainty: The CBGM has not been approved for sale. The company expects an FDA premarket approval pathway may apply, which can require extensive clinical evidence and take years. Reimbursement, patient and physician acceptance, manufacturing readiness, and competition from established CGM companies are additional risks.
- Financing and dilution: The company depends on external financing and may need to issue equity or debt, collaborate, or license technology. Further capital may be unavailable or dilutive. In January 2024, offering-related pre-funded warrants were exercised for 1,976,470 shares. In February 2024, the company exchanged 4,381,953 warrants for 3,593,203 common shares.
- Nasdaq listing: The company received an extension through May 20, 2024 to regain compliance with the $1.00 minimum bid-price rule. It disclosed that its share price remained below the threshold and said it had agreed to a reverse split if compliance was not regained by the deadline.
- Controls: Management concluded that disclosure controls and internal control over financial reporting were ineffective at year-end due to material weaknesses, including insufficient accounting personnel, segregation of duties, and entity-wide and IT controls. Remediation was planned for 2024; completion was not assured.
- Other obligations and unusual items: A contingent royalty obligation to the Israeli Innovation Authority was approximately $73,000, excluding interest, on future sales of products arising from the funded development plan. A 2023 warrant down-round adjustment resulted in an $855,000 deemed dividend affecting loss attributable to common stockholders and loss per share. The filing reports no material litigation or off-balance-sheet arrangements.
Most important facts for investors to verify
- Current cash, cash burn, and whether subsequent financing is sufficient to fund operations and planned trials.
- Progress against CBGM design, manufacturing, regulatory-submission, and first-in-human study milestones, and whether preclinical findings translate to human results.
- Current share count and the effects of warrant exercises, the February 2024 share exchange, any additional financing, and any reverse stock split.
- Nasdaq bid-price compliance status and any resulting listing action.
- Whether the company has remediated its internal-control material weaknesses and strengthened financial-reporting resources.
- Potential FDA pathway, clinical requirements, and reimbursement prospects; the filing’s timelines and market opportunity remain forward-looking and uncertain.
