Grant revenue declined about 34%; operating expenses rose about 4%, and net loss increased about 14%. Research and development expense was nearly unchanged. The filing does not report product sales or a meaningful gross margin. Cash increased mainly due to approximately $2.68 million of net proceeds from preferred-stock financing; investing cash use was $15,850. There was no long-term debt or committed credit line. Current liabilities were $216,730. Lease and firm purchase obligations totaled approximately $195,000.
Financing, capital structure and material changes
In February 2015, GeoVax issued 3,000 Series C convertible preferred shares for $3.0 million gross proceeds and approximately $2.68 million net proceeds. The initial conversion price was $0.18; the preferred shares were convertible into 16.67 million common shares at that price. The company also issued Series D, E and F warrants covering up to 50.0 million shares in aggregate, plus placement-agent warrants for 1.33 million shares. The warrants have anti-dilution and price-adjustment terms.
After the resale-registration statement became effective on April 8, 2015, the Series C conversion price fell to $0.142; specified warrant exercise prices also fell. These post-quarter changes may materially increase potential dilution. As of March 31, 74.59 million common shares were reserved for preferred conversions, warrants and equity plans. Stockholders subsequently approved an increase in authorized common shares from 75 million to 150 million, filed May 13, 2015. Common shares issued and outstanding were 31,950,813 as of May 13.
Outlook, risks and other notable items
- Management said existing cash resources and grant commitments were expected to fund planned operations through the first quarter of 2016; additional funding would be needed thereafter. Funding may come from grants, clinical-trial support, warrant exercises or equity offerings, but may not be available on favorable terms or at all. Without it, GeoVax may delay, reduce or discontinue programs and cut overhead.
- The preventive clade B HIV vaccine had completed Phase 2a. GeoVax was seeking funding for a pivotal Phase 2b trial and expected an NIH/HVTN-supported Phase 1 protein-boost trial in late 2015. The company was also planning therapeutic HIV studies and early preclinical work on clade C candidates.
- Ebola vaccine preclinical animal studies were planned for 2015. The filing gives differing expected timing for first human testing: the business description says late 2016 or early 2017, while MD&A says 2016. In April 2015, NIAID agreed to contribute materials and conduct animal-protection studies, potentially including non-human primates.
- GeoVax has incurred losses since inception and expects continued losses. Vaccine development, clinical results, regulatory approvals, grant support and access to capital are significant uncertainties; the company cautioned that it may never generate significant product revenue. Management said research and development costs may rise as programs advance.
- Approximately $125,541 of approved grant funding remained available at March 31, 2015, expected to be recognized as revenue during the rest of 2015. The company also reported $85,200 of unrecorded purchase commitments due in 2015, and $109,569 of remaining 2015 lease payments.
- No legal proceedings were reported, and management said there were no material changes to previously disclosed risk factors. Disclosure controls were deemed effective; no material change in internal control was reported.
