Halozyme Therapeutics, Inc. — 2019 Form 10-K
Reporting period: Fiscal year ended December 31, 2019. This is an annual report, not a standalone fourth-quarter filing. Unless otherwise noted, financial amounts are in U.S. dollars.
Business context
Halozyme is a biopharmaceutical technology company whose ENHANZE platform uses recombinant human hyaluronidase (rHuPH20) to facilitate subcutaneous delivery of medicines. It earns revenue from royalties, licensing and milestone payments, supply of rHuPH20, and sales of Hylenex. Its partners include Roche, Takeda’s Baxalta business, Janssen, and argenx, among others.
Following a failed Phase 3 trial of PEGPH20 in metastatic pancreatic cancer, Halozyme halted its oncology program and refocused on ENHANZE and Hylenex. It reported three marketed partnered products and one marketed proprietary product.
Financial performance and liquidity
| Metric | 2019 | 2018 | Change / context |
|---|---|---|---|
| Total revenue | $196.0 million | $151.9 million | Up 29% |
| Royalties | $69.9 million | $79.0 million | Down 12%; lower Roche Herceptin SC sales were partly offset by other partnered products |
| Product sales, net | $66.0 million | $28.2 million | Up 134%, mainly higher bulk rHuPH20 sales to Janssen |
| Collaborative agreement revenue | $60.0 million | $44.6 million | Up 34%, including argenx-related revenue |
| Operating loss | $67.6 million | $69.3 million | Loss narrowed slightly |

| Working capital | $457.8 million | $278.5 million | At December 31 |
Product-sales gross profit was $20.5 million, approximately 31% of product sales, compared with $18.1 million, approximately 64%, in 2018; the filing attributes the cost increase chiefly to higher bulk rHuPH20 sales. Total liabilities were $474.1 million at year-end. Debt carrying value, net of discounts, was $402.6 million, including $383.0 million of long-term debt and $19.5 million current debt. The company issued $460 million of 1.25% convertible notes due 2024; the Royalty-backed Loan carried a 10.25% rate at year-end, with repayment estimated in Q2 2020.
Material changes and notable events
- HALO-301 did not improve overall survival: median overall survival was 11.2 months with PEGPH20 combination therapy versus 11.5 months with control (HR 1.00; p=0.9692). Halozyme stopped PEGPH20 development and closed its oncology studies.
- The restructuring reduced planned headcount by approximately 55%, or about 160 positions. 2019 restructuring and related charges totaled approximately $28.4 million, including employee costs, asset impairments, and contract cancellations.
- Roche received U.S. approval for Herceptin Hylecta in February 2019 and launched it in April. Roche’s Phase 3 FeDeriCa study of subcutaneous pertuzumab/trastuzumab met its primary endpoint; regulatory submissions were expected in Q1 2020.
- Janssen submitted U.S. and European regulatory applications for subcutaneous DARZALEX in 2019. Argenx entered an ENHANZE collaboration and triggered target and clinical milestones.
- Halozyme issued the convertible notes, repaid its Oxford Finance/Silicon Valley Bank loan, and repurchased approximately $200 million of shares. It authorized a capital-return program of up to $550 million over three years.
Outlook, risks and contingencies
Management expected sustainable profitability beginning in Q2 2020 after the restructuring and one-time charges, and stated that available cash and securities should fund operations for at least 12 months. It expected near-term royalty revenue to decline before the next partnered product launch, partly due to biosimilar competition in Europe; Hylenex sales were expected to be broadly flat. These are forward-looking expectations, not guarantees.
- Revenue depends substantially on partner development, regulatory approvals, commercialization, milestone achievement, and product sales; Roche accounted for 40% of 2019 revenue, argenx 23%, and Janssen 18%.
- Key risks include clinical or regulatory setbacks, partner decisions or termination of collaborations, competition and reimbursement pressure, patent challenges, and reliance on third-party manufacturers for rHuPH20 and product finishing.
- Debt service, potential cash settlement or dilution upon conversion of the notes, and the timing of Royalty-backed Loan repayment could affect liquidity. Repayment estimates depend on future royalties.
- The filing reported no legal proceeding expected by management to have a material adverse effect. Management and the auditor reported effective internal control over financial reporting; the financial statement audit opinion was unqualified.
Important facts for investors to verify

- Partner product approvals, launches, sales trends, milestone timing, and the concentration of revenue in Roche, argenx, and Janssen.
- Royalty performance and the actual repayment date and balance of the Royalty-backed Loan.
- Cash use, working-capital needs, manufacturing commitments, and progress on the $550 million share-repurchase authorization.
- Whether biosimilar competition, partner decisions, or supply constraints materially change ENHANZE royalties and product prospects.
