Material changes, outlook and risks
- Loan growth and higher interest income were largely volume-driven, including the acquired Louisiana Bancorp portfolio. Management noted that loan yields fell 35 basis points in Q3 year over year, while interest expense increased with higher deposit and FHLB funding volumes.
- Management increased provisions in part because of originated-loan growth, rising nonperforming loans, and potential direct and indirect effects of continued low energy prices. Energy-related loans were $34.8 million, or 2.8% of loans, with $8.4 million in unfunded commitments. Management said 92% were performing under original terms; the remaining 8% had been restructured and were paying under modified terms.
- The company restructured $5.6 million of loans as troubled debt restructurings during Q3. Management said no restructured loans had defaulted after modification through the financial-statement issuance date. It also reported no outstanding commitments to lend further to impaired borrowers.
- No formal earnings or operating guidance was provided. The interest-rate simulation showed projected net interest income approximately unchanged for a 200-basis-point increase and up 0.1% for a 100-basis-point increase, but down 0.5% for a 300-basis-point increase. Actual results depend on rates, repricing, funding mix and growth.
- Management said ordinary-course claims and litigation were not expected to have a material effect. No material risk-factor changes from the 2015 Form 10-K were reported. The company identified the forthcoming expected-credit-loss accounting standard as still under evaluation; its impact was too early to assess.
Most important facts for investors to verify
- Whether the increase in nonperforming loans—particularly originated commercial and industrial loans—and the allowance adequately reflect credit risk.
- Energy-sector borrowers’ subsequent performance, including restructured credits and indirect exposure to energy-dependent businesses.
- Whether deposit trends and upcoming certificate maturities require continued or higher-cost FHLB funding.
- How much reported earnings growth reflects ongoing operations versus acquisition-related effects, sale gains and prior-period merger costs.
- Whether narrowing net interest margins, rising funding costs and operating expenses affect future profitability; the filing provides no formal guidance.
