Balance sheet, liquidity, and debt

  • At March 31, current assets were $15.51 million and current liabilities $7.01 million, implying working capital of approximately $8.49 million and a current ratio of approximately 2.2. Total assets were $16.75 million; stockholders’ equity was $5.54 million.
  • Net inventory was $11.62 million, down from $14.28 million at year-end. The inventory obsolescence allowance was $637,000. Management fully allows for SKUs unsold for more than a year.
  • Outstanding bank borrowing was $625,978 under Flywheel’s Taishin line of credit, bearing 3.2% interest and due August 30, 2024. The Bank of America line had no principal outstanding; $27,996 of accrued interest was reported, due June 18, 2024.
  • $4.17 million was due to related-party stockholders, including the CEO and a director/SVP. The loan bears 5.5% interest and is due December 31, 2024; $57,030 of interest was accrued. Operating lease liabilities totaled $168,283.
  • Operating cash flow improved year over year, but included a $2.02 million cash benefit from inventory reduction. Reductions in credit-card payables and accrued liabilities were significant cash uses. Investing cash outflow was $17,798; there was no financing cash flow.

Changes, outlook, and risks

  • Orders increased 23.1% to approximately 1.12 million. Management cited continued operating-model growth and customer demand, while noting slower overall e-commerce traffic, intense competition, competitive pricing, and discounts constrained revenue growth relative to order growth.
  • Approximately 99% of Q1 revenue was through or with Amazon, versus 100% in Q1 2023. Amazon also provides key platform, logistics, fulfillment, warehousing, invoicing, and collection services, creating substantial platform concentration risk.
  • Management describes plans to expand business managers, vendors, and SKUs, but provides no quantified revenue, earnings, or cash-flow guidance.
  • The company reported $288,466 of estimated sales-tax liabilities, including $78,947 of interest and penalties, and said it was progressing on historical filings with a target to complete filings in all jurisdictions during 2024.
  • Sales returns were 5.53% of gross sales, down from 7.25% a year earlier. Advertising and promotion expense increased to $884,000 from $784,266.
  • Related-party borrowing, near-term Taishin maturity, foreign-currency exposure in Taiwan, inventory valuation, and reliance on Amazon are notable matters to monitor. Management reported no material pending legal proceedings or material commitments; disclosure controls were assessed as effective, with no material internal-control changes reported.

Key facts for investors to verify

  • Whether Q1’s margin recovery and profitability can persist as Amazon fees, competition, and pricing pressure evolve.
  • Cash conversion and inventory quality, including the effect of inventory liquidation and allowance assumptions on operating cash flow and gross margin.
  • Repayment or refinancing of the Taishin borrowing by August 30, 2024, and the terms and repayment of the $4.17 million related-party loan due December 31, 2024.
  • Progress on historical sales-tax filings and whether the $288,466 accrual adequately covers tax, interest, and penalties.
  • Any change in Amazon’s share of sales or in its platform, fulfillment, and collection arrangements.
