Liquidity, debt and capital allocation
- Cash and cash equivalents were $7.2 million at year-end, versus $7.6 million a year earlier. Operating cash flow was $159.5 million; investing activities used $122.5 million and financing activities used $37.4 million.
- Capital expenditures were $40.2 million. The company spent $83.5 million on acquisitions, paid $13.2 million in dividends, repurchased $11.3 million of shares, and made net debt repayments of $13.0 million.
- Revolver borrowings were $99.0 million at March 31, 2024, under a $250 million secured facility maturing April 30, 2027. The effective borrowing rate was 4.3%; a $60 million interest-rate swap runs through May 2027. Hawkins reported compliance with its credit covenants and expects to remain compliant over the next 12 months.
- Current assets were $202.8 million and current liabilities were $103.3 million, including a $7.7 million environmental remediation liability.
Material changes, outlook and unusual items
- Gross profit benefited from a $15.4 million decrease in the LIFO reserve, primarily reflecting lower raw material costs; the prior year’s LIFO reserve increase reduced gross profit by $18.5 million. Hawkins does not hedge commodity chemical purchases and may not be able to pass cost increases through promptly.
- Four Water Treatment businesses were acquired during fiscal 2024. Their combined prior-year revenue was approximately $70 million; acquisition spending was $83.5 million, and acquired-business sales contributed $23.9 million to fiscal 2024 Water Treatment revenue. A potential Water Solutions earnout was valued at $11.2 million at year-end.
- A $7.7 million charge was recorded for estimated remediation of PCBs found in soil during an expansion project at the Rosemount, Minnesota facility. Hawkins expects to incur the estimated cost within 12 months, but says additional costs are possible and cannot currently be estimated.
- Fiscal 2025 capital expenditures are expected to be $40 million to $45 million. The filing provides no specific sales, earnings or margin guidance.
- Management attributed Industrial sales declines partly to lower volumes and the prior-year sale of the consumer bleach packaging business. Health and Nutrition sales fell mainly as customers destocked manufactured-product inventories. Water Treatment growth reflected acquisitions, higher selling prices and higher volumes.
- Key risks include commodity price and supply volatility, transportation and supply-chain disruptions, competitive pricing pressure, environmental and product liability, regulatory compliance, weather and seasonality, and facility lease renewals. No material pending litigation was reported. Auditors gave unqualified opinions on the financial statements and internal controls; acquired businesses were excluded from the internal-control assessment for the year.
Fourth-quarter snapshot
Fiscal 2024 fourth-quarter sales were $223.0 million versus $228.1 million a year earlier; net income was $13.8 million versus $11.6 million, and diluted EPS was $0.66 versus $0.55.
Important facts for investors to verify
- Whether Water Treatment acquisition growth and improved per-unit margins can be sustained, and how acquired businesses perform against purchase-price and earnout assumptions.
- How much of the year-over-year profit improvement reflects the favorable LIFO reserve movement versus ongoing operating performance.
- The final remediation scope and cost for the Rosemount PCB discovery, including any additional liability beyond the recorded $7.7 million.
- Working-capital and operating-cash-flow trends, given seasonal bulk chemical inventory needs and the substantial improvement in fiscal 2024 cash flow.
- Debt repayment capacity, covenant headroom, and exposure to variable interest rates and commodity costs.
- Renewal status and potential operating consequences for leased terminal and manufacturing sites, including near-term lease expirations identified in the filing.
