Q2 operating margin was approximately 23.0% and first-half operating margin approximately 46.9%, calculated from reported revenue and operating income. Q2 recurring revenue was $99.1m, down 1%; catch-up revenue was $2.5m, versus $24.6m a year earlier. First-half recurring revenue was $200.6m, up 1%, while catch-up revenue rose to $103.3m from $26.7m, primarily reflecting Lenovo-related revenue recognized in Q1.
Operating expenses increased 5% in Q2 to $78.2m and 11% in the first half to $161.3m. Q2 interest expense was $12.1m, up from $6.3m; other income was $14.4m, compared with $15.0m of expense in Q2 2022. Higher investment income and the absence of the prior-year $11.2m debt-extinguishment loss contributed to the year-over-year improvement in non-operating results. The first-half effective tax rate was 14.5%, versus 26.8%.
Liquidity, debt and capital returns
At June 30, 2023, cash and cash equivalents were $277.6m, restricted cash $13.3m, and short-term investments $563.1m, totaling $854.0m. Total current assets were $1.19bn and current liabilities $446.5m. Cash, restricted cash and short-term investments declined $357.5m from year-end 2022. First-half operating cash use was $73.3m; management attributed the increase in cash use versus 2022 mainly to tax payments, higher operating costs, and timing of customer receipts.
Debt carrying value was approximately $609.5m, including $125.6m classified as current. Outstanding notes include $460.0m principal of 3.50% convertible notes due 2027 and $126.2m principal of 2.00% convertible notes due 2024. The 2024 notes mature in June 2024, unless earlier converted, redeemed or repurchased. First-half financing cash use was $271.5m, including $245.9m of share repurchases; dividends paid were $19.8m. The quarterly dividend declared was $0.35 per share.
Material developments, outlook and risks
The UK High Court’s Lenovo award reached $184.9m for a license through 2023; the company received payment on July 11, after quarter-end. The filing says additional catch-up revenue recognition is deferred while the appeal process progresses. The court also awarded Lenovo a portion of its costs, with the amount not yet determined, and both parties received permission to appeal on certain grounds. Related U.S. proceedings were stayed pending UK appeals. Separate licensing and FRAND disputes involving Lenovo and other licensees remain active in multiple jurisdictions.
Management reported $1.66bn of estimated future revenue from contracted dynamic fixed-fee royalty payments, including Samsung and Lenovo, subject to revenue-recognition constraints. It also reported $345.2m of deferred revenue at June 30, with approximately $172.7m expected to amortize over the next 12 months. These are contract-based estimates, not full-year revenue guidance. Management stated that available liquidity and expected operating cash generation should fund operations and obligations in both the next 12 months and longer term.
Q2 included a $1.8m one-time net litigation-fee reimbursement charge and a $3.1m gain from fair-value changes in a strategic investment. First-half results also included a $2.5m patent impairment. The company cited risks including litigation outcomes and appeals, license negotiation and collection timing, customer concentration, international operations and foreign currency exposure, and macroeconomic conditions. It said inflation, supply-chain issues, higher interest rates and the Russia-Ukraine conflict had not materially affected the business to date, but could do so if they continue or worsen. No formal earnings or revenue guidance was provided.
Customer concentration is significant: four licensees represented 94% of net accounts receivable at quarter-end. Apple, Samsung, Xiaomi and Huawei each contributed at least 10% of Q2 revenue; together, licensees representing at least 10% individually accounted for 78% of Q2 revenue.
