Material changes versus comparable periods
- Q3 revenue increased 1.3%; nine-month revenue increased 16.2%. Product revenue growth was led by JAKAFI: $619.6 million in Q3, up from $547.4 million, and $1.762 billion for nine months, up from $1.542 billion.
- OPZELURA generated $38.1 million of Q3 product revenue and $67.5 million for nine months; it had no comparable 2021 revenue in the reported periods. PEMAZYRE and MINJUVI revenue also increased, while ICLUSIG revenue declined.
- Royalty revenue fell to $110.3 million from $184.0 million in Q3 and to $350.3 million from $404.4 million for nine months. OLUMIANT royalties declined substantially; management cited foreign exchange, lower COVID-19-related sales and a one-time intellectual-property deduction for the nine-month decrease. JAKAVI royalties also decreased modestly.
- Nine-month milestone and contract revenue rose to $135.0 million from $45.0 million, reflecting $60.0 million of Novartis milestones, $70.0 million of Lilly milestones and a $5.0 million Innovent milestone. Q3 had no milestone revenue, versus $35.0 million a year earlier.
- Q3 research and development expense increased to $384.0 million from $334.9 million; selling, general and administrative expense increased to $266.5 million from $190.7 million. The filing attributes increases principally to clinical development investment and expansion of the dermatology commercial organization, including OPZELURA launches.
- Net income declined despite higher nine-month revenue. Nine-month results included a $72.1 million unrealized loss on long-term investments, compared with a $28.4 million loss in 2021, and a higher income-tax provision of $136.3 million versus $65.7 million. Q3 also included $21.9 million of gain from remeasurement of acquisition-related contingent consideration.
Outlook, management commentary and risks
- Management stated that operating cash flow, cash and marketable securities, and the undrawn revolver should fund capital needs for the foreseeable future. The filing does not provide specific revenue or earnings guidance.
- Development priorities include late-stage programs and launches, including once-daily ruxolitinib, with an FDA action date stated as March 23, 2023; the axatilimab pivotal program; and OPZELURA’s atopic dermatitis and newly approved vitiligo indications.
- Research and development decisions included discontinuing itacitinib development in treatment-naïve chronic GVHD after efficacy results indicated a pivotal trial was unlikely to succeed; withdrawing the parsaclisib lymphoma applications after discussions about confirmatory-trial feasibility; and terminating the Calithera collaboration, with rights reverting in December 2022. Incyte also opted out of continued development of Merus’s MCLA-145 and notified Agenus that it was terminating the OX40 project.
- In October 2022, Incyte announced an agreement to acquire Villaris Therapeutics for an upfront $70 million, with up to $310 million in development and regulatory milestones and up to $1.05 billion in commercial milestones. Closing was subject to antitrust clearance.
- Principal risks include dependence on JAKAFI, competition and potential generic challenges to ruxolitinib patents, pricing and reimbursement pressure, clinical and regulatory uncertainty, reliance on collaborators and third-party manufacturers, and customer concentration. Five customers represented 36% of accounts receivable at September 30, 2022. Marketable securities and publicly traded collaborator investments are also exposed to market-value changes; nine-month investment losses were material.
- Other notable considerations include $56.8 million of pre-commercialization inventory expected to be sold over approximately 28 months, reliance on limited suppliers for some components, and higher U.S. tax payments expected following mandatory capitalization and amortization of research and development costs for tax years beginning after 2021.
Investor verification priorities
- Track JAKAFI’s sales, pricing, patent litigation and generic-entry timeline, given its significant contribution to product revenue.
- Assess whether OPZELURA’s launch growth translates into durable sales, including payer and formulary access, rebates and the impact of its label warnings.
- Separate recurring product and royalty growth from milestone timing and foreign-exchange effects, especially the decline in OLUMIANT royalties.
- Monitor operating-expense growth, clinical trial progress and regulatory milestones against future revenue generation.
- Review the drivers and potential volatility of long-term investment marks, contingent consideration and tax expense.
- Confirm the status, consideration and contingent obligations of the Villaris acquisition after the reporting date.
