Operating cash flow less capital expenditures was approximately $0.082 million. Cash flow benefited from lower receivables and increases in accrued salaries and taxes. The company reported total assets of $49.135 million and stockholders’ equity of $18.418 million at quarter-end.

At March 31, long-term obligations totaled $7.409 million, including $6.239 million in accrued pension liability and $1.170 million for software licenses; $1.121 million was current. Operating lease liabilities totaled $4.559 million. These are distinct from the revolving credit facility entered into after quarter-end.

Changes versus the prior-year quarter

  • DDS revenue fell 20% to $12.746 million, primarily on lower volume from one customer; DDS gross margin declined to 33% from 41%.
  • Synodex revenue increased 12% to $1.865 million. The segment moved from a gross loss to $0.203 million gross profit and was approximately breakeven on net income.
  • Agility revenue increased 17% to $4.228 million, mainly on higher subscriptions and newswire volumes. Its net loss narrowed to $1.503 million from $2.879 million.
  • Lower selling and administrative expenses and cost optimization helped narrow the consolidated GAAP net loss. However, reported gross margin declined to 32% from 37%, reflecting lower DDS revenue and weaker DDS margins.

Adjusted gross profit was $7.420 million and adjusted gross margin 39%, compared with $8.669 million and 41% a year earlier. These are non-GAAP measures; adjustments include depreciation and amortization, stock-based compensation and non-recurring severance. Adjusted EBITDA also includes such adjustments and should not be read as GAAP profit or cash flow.

Outlook, commentary and risks

  • Management said existing cash and internally generated funds were expected to meet financial needs for at least 12 months from the filing date. It anticipated approximately $6.5 million in capital expenditures over the next 12 months, including software development and technology infrastructure.
  • On April 4, 2023, the company entered into a secured revolving facility with a stated maximum of $10 million, subject to a borrowing base. The calculated borrowing base at entry was approximately $3.3 million. Borrowings bear interest at daily simple SOFR plus 2.25%; a fixed-charge coverage ratio of at least 1.10 to 1.00 is required by December 31, 2023. The facility is secured and carries operating and financial covenants.
  • Management cited project-based DDS work, customer project reductions or cancellations, customer concentration, competition, technology and cybersecurity risks, foreign exchange and wage-cost exposure, and uncertainty in converting pipeline opportunities into work. Two DDS customers each represented approximately 11% of Q1 revenue.
  • Tax and legal contingencies include a disputed Indian service-tax matter relating to approximately $57 million of subsidiary revenue from 2012–2016, potentially subject to tax of 12.36%–15% plus interest and penalties if the tax authority prevails; no liability was recorded. The company also disclosed a Philippine former-employee judgment with a potential payment of approximately $5.9 million plus accrued interest, subject to ongoing U.S. court proceedings. Management said adverse outcomes in these matters could materially affect results. Other adverse legal outcomes of approximately $450,000 beyond recorded amounts were described as reasonably possible.
  • Q1 included $0.580 million of non-recurring severance in the company’s Adjusted EBITDA reconciliation, associated with a headcount reduction and cost-structure realignment. The filing reports effective disclosure controls as of March 31, 2023.

The filing provides no specific full-year revenue or earnings guidance. Management’s liquidity and capital-spending expectations are not guarantees of future results.

Important facts for investors to verify

  • Whether DDS revenue and margins stabilize, particularly given customer concentration and project-based work.
  • Whether cost reductions translate into sustained GAAP profitability, rather than relying on non-GAAP adjustments.
  • Actual revolver availability under the borrowing-base formula, borrowing costs, and the company’s ability to meet the December 2023 covenant.
  • Cash generation relative to planned capital spending and working-capital needs.
  • Developments in the Indian tax dispute and Philippine litigation, including any change to recorded liabilities or potential exposure.
