Liquidity, cash flow and debt
- Cash was $89.2m at September 30, down $16.1m from year-end 2020. Cash from operations fell to $24.4m from $87.7m, mainly due to working-capital investment as demand recovered.
- Adjusted working capital, a company-defined non-GAAP measure, rose to $304.5m from $227.8m. Receivables increased $81.4m and inventories increased $54.1m; management cited demand and supply-chain disruption risk.
- Capital expenditures were $27.4m; dividends paid were $14.0m. The company had no revolver borrowings or finance-lease debt. Its $250m revolving credit facility remained available through September 2024, with an accordion feature of up to $125m.

Management commentary, outlook and risks
- Management said global demand for refined fuels had returned to near pre-pandemic levels. Oilfield Services demand had risen sequentially, and the company expected growth to continue into Q4 2021 and further into 2022.
- Fuel Specialties’ Q3 gross margin declined 2.2 percentage points year over year, reflecting weaker higher-margin jet-fuel additive mix while travel remained affected by the pandemic, and a lag in passing higher raw-material costs through to selling prices. Management reported pricing maintained in Oilfield Services despite competition.
- Across segments, higher demand, sales mix and pricing supported results, while increased selling, R&D and personnel-related costs raised operating expenses. Supply-chain disruption, raw-material cost changes, currency movements and the pandemic remain relevant risks. The filing reports no material changes to risk factors since the 2020 Form 10-K.
- The Q3 GAAP effective tax rate was 24.0% (37.1% prior year); the adjusted rate was 22.3% (23.0%). For nine months, GAAP and adjusted rates were 32.0% and 23.3%, respectively. The filing cites profit mix by jurisdiction and tax adjustments, including a UK statutory-rate change.
- Unrecognized tax benefits, interest and penalties totaled $16.4m. An Italian tax audit could result in $3.3m of additional tax, interest and penalties, with an indemnification asset recorded for the same amount. The company reported no material pending legal proceedings; guarantees not recorded as liabilities totaled $8.6m.
Important facts for investors to verify
- Whether receivables and inventories convert to cash as sales growth continues; operating cash flow was materially below the prior-year period.
- Whether higher raw-material and other costs can be passed through without further margin pressure, particularly in Fuel Specialties.
- Whether Oilfield Services growth continues into 2022 as management expected, and how demand depends on pandemic recovery.
- The development of tax exposures, including the Italian audit and the $16.4m of unrecognized tax benefits, and the assumptions underlying environmental remediation provisions.
