Balance sheet and liquidity: Total assets were $892.3 and stockholders’ equity $773.2 at March 31. Current assets were $649.4 and current liabilities $88.1. Total borrowings were approximately $23.9, comprising $9.8 of revolving-credit drawings and $14.1 of term debt. The company reported $53.2 of unused credit lines and overdraft facilities and $205.5 of working capital excluding cash.

Capital expenditures were $17.7 in Q1. The company expects 2013 capital expenditures of $60–$70, excluding acquisitions. It was in compliance with its debt covenants at quarter-end.

Material changes versus the prior comparable period

  • Materials-processing sales rose 28.9% to $133.0, supported by high- and medium-power lasers for cutting and welding and pulsed lasers for marking and engraving. Other-application sales fell 56.0% to $8.8, primarily reflecting lower sales of high-power, high-brightness lasers for advanced applications.
  • Gross margin contracted because of product mix, particularly lower sales of advanced-application lasers, partly offset by better manufacturing-cost absorption.
  • Operating expenses increased to $26.0 from $23.5, including higher sales and marketing, R&D, and general and administrative costs. A $0.5 foreign-exchange gain replaced a $1.3 loss in Q1 2012.
  • Net income benefited from higher operating income and a lower effective tax rate: 29.3% versus 30.5%. A discrete $0.8 tax benefit from 2012 R&D credits under the American Taxpayer Relief Act contributed to the lower rate.
  • Operating cash flow was negative largely because of $40.2 of cash used by the change in income and other taxes payable, including approximately $32 of German corporate tax payments. Receivables and inventory also used cash.
  • Comprehensive income attributable to IPG was $25.6 versus $42.9, mainly reflecting a $9.6 foreign-currency translation loss in 2013 compared with a $15.0 translation gain in 2012.

Outlook, management commentary, risks and unusual items

  • Management expects sales and marketing, R&D and general and administrative spending to increase as the company expands sales, product development and worldwide operations. No revenue or earnings guidance is provided in the filing.
  • On March 13, 2013, IPG acquired Mobius Photonics’ working capital and long-term assets, adding high-power pulsed UV fiber-laser capabilities. The preliminary purchase allocation included $4.5 of technology and know-how intangibles and $0.5 of goodwill, and remained subject to adjustment.
  • Management cited customer concentration: the five largest customers represented 22% of Q1 sales, versus 16% for full-year 2012. Orders for some advanced applications can be uneven and high in value.
  • Risks highlighted include product-mix and demand effects on margins, fixed manufacturing costs, inventory obsolescence and working-capital needs, foreign-exchange volatility, and reliance on major customers. The company had no foreign-currency hedges outstanding at March 31.
  • Cash usage included substantial tax payments, $17.7 of capital expenditures and the Mobius acquisition; management also noted that planned capital projects can be difficult to defer. Revolving facilities and term debt carry covenant requirements; a breach could affect liquidity or accelerate debt.
  • The company reported no ongoing legal proceedings management estimated could materially affect the financial statements and no material first-quarter developments in previously reported proceedings. Disclosure controls were deemed effective, with no material change in internal control over financial reporting.

Important facts for investors to verify

  • Whether materials-processing demand, especially cutting, welding and marking applications, continues to offset weakness in other applications.
  • Whether product mix and manufacturing-cost absorption stabilize or further affect gross margin.
  • How operating cash flow develops after the unusually large German tax payment, and whether receivables and inventory continue to consume cash.
  • Progress and final purchase accounting for Mobius, alongside the $60–$70 million 2013 capital-expenditure plan.
  • Customer concentration, currency exposure, and continued compliance with debt covenants and availability of committed credit facilities.
