Material changes and notable items

  • Revenue fell primarily because Forest and Almirall development-period deferred revenue amortization ended in Q3 2012. Increased API sales and AstraZeneca-related revenue partly offset the decline.
  • SG&A rose mainly with the U.S. LINZESS launch, including field-force compensation, marketing, and commercial infrastructure. Collaboration expense also increased with launch-related selling and marketing costs; Ironwood reported its share of LINZESS U.S. net loss as $33.3 million, including its direct selling and marketing costs.
  • On January 4, 2013, Ironwood issued $175 million of notes bearing 11% annual interest, due on or before June 15, 2024. Net proceeds after offering expenses were approximately $167.3 million. Quarterly principal payments are expected to begin in 2014 and depend partly on 7.5% of U.S. LINZESS net sales; the debt is secured by a segregated account tied to Forest payments.
  • Financing cash flow was $170.3 million, including the notes proceeds; investing cash flow was $(108.5) million, mainly reflecting purchases of short-term securities. Cash and cash equivalents declined by $31.4 million during the quarter.
  • Inventory increased to $19.7 million from $6.7 million, reflecting capitalized linaclotide API available for commercial sale.
  • Ironwood regained linaclotide rights in South Korea, Taiwan, Thailand, the Philippines and Indonesia through a March 2013 amendment with Astellas. It also received approval in China to proceed with a Phase III linaclotide trial.

Outlook, risks and contingencies

  • Management expects substantial expenses and operating losses for the foreseeable future and cannot predict when, if ever, sales will produce positive cash flow. It stated that available resources should fund projected operating needs for at least the next 12 months, subject to uncertainties in commercialization, development costs and revenue.
  • Ironwood is highly dependent on U.S. LINZESS commercialization with Forest. Sales uptake, payer access and reimbursement, launch spending, and the partners’ allocation of costs and profits or losses may cause significant quarterly variability.
  • Management said it was in active discussions with Almirall about European collaboration economics, potentially rebalancing short-term compensation, including five $4 million launch milestones, in exchange for sales-based incentives and a more favorable royalty structure. No outcome was reported.
  • Key risks include LINZESS safety and tolerability (diarrhea was the most common adverse reaction; the label includes a pediatric warning), regulatory post-approval studies, reliance on external manufacturers and partners, competition, pricing and reimbursement, and ongoing losses.
  • Patent uncertainty includes a U.S. inter partes reexamination of a linaclotide-related patent and a March 2013 opposition to a granted European patent. The filing also notes potential future funding needs and the risk that Forest payments may not cover debt-service obligations in a given quarter.
  • Management reported disclosure controls and procedures were effective at a reasonable assurance level and that no material change in internal control over financial reporting occurred during the quarter.

Important facts for investors to verify

  • U.S. LINZESS prescription demand, net sales, reimbursement coverage, and the resulting quarterly profit-and-loss settlements with Forest.
  • Cash burn and runway against management’s at-least-12-month liquidity estimate, including future launch, R&D and inventory spending.
  • Debt service under the 11% notes, the Forest-payment funding mechanism, and any changes in sales-based repayment estimates or debt classification.
  • Constella launch timing, country-level pricing and reimbursement, and the outcome of Ironwood’s discussions with Almirall.
  • Manufacturing capacity and compliance, required post-marketing study progress, and developments in the U.S. patent reexamination and European opposition.
