Revenue mix and margins. In Q2, Sponsored Revenue was approximately $2.41 million (52% of revenue), Content Revenue $2.16 million (47%) and service fees and other $0.07 million. Content Revenue, primarily added through Ebyline, generated only an 11% gross margin in Q2; Sponsored Revenue margin was 58%. Lower-margin content and white-label partner participation reduced consolidated margins.
Cash flow and liquidity. Cash was $2.53 million at June 30, down from $6.52 million at December 31, 2014. Six-month operating cash use was $3.01 million; investing cash use was $0.98 million, including $0.91 million for the Ebyline acquisition. The company reported an accumulated deficit of $29.20 million and stockholders’ deficit of $1.58 million. Current assets were $6.38 million versus current liabilities of $5.43 million. No advances were outstanding under the secured, receivables-based Bridge Bank facility, which permits borrowing up to a $5 million limit subject to eligibility and other terms.
Debt and obligations. Acquisition consideration payable was $4.15 million at June 30, including $1.07 million current and $3.08 million long-term. The Ebyline agreement allows up to $8.85 million total consideration, including contingent performance payments of up to $5.5 million, potentially payable in cash or stock. The balance sheet also carried a $5.46 million warrant liability, remeasured through earnings.
Changes versus prior periods
- Q2 revenue rose 135% and six-month revenue rose 123%, largely reflecting Ebyline Content Revenue and growth in Sponsored Revenue. Management cited larger managed campaigns, new customers and repeat business.
- Cost of sales increased faster than revenue; gross margin fell from 67% to 37% in Q2 and to 39% for the six-month period. Operating expenses rose 55% in Q2 and 63% in the first half, primarily due to personnel, acquisition-related overhead, professional fees and amortization.
- Results swung from prior-year net income to losses. The comparison is affected materially by warrant fair-value movements: the company recorded a $2.26 million loss for the first half of 2015 versus a $3.38 million gain in 2014. These are non-cash remeasurement items, but significantly affect GAAP earnings.
Outlook, risks and unusual items
- Management expected revenue to increase in 2015, citing net bookings of $6.2 million for Q2 and $10.5 million for the first half; it said revenue is typically recognized within 90 days of booking. These are management expectations, not formal revenue guidance.
- Management expected overall gross margins in a 30%–35% range as the mix includes lower-margin Content Revenue and white-label transactions. It anticipated improvement in Content margins from more managed brand sales.
- Management stated that current cash, the expanded credit line and proceeds expected from a warrant exercise offer would provide sufficient reserves for the following year. As of August 7, it expected at least $12 million gross proceeds from exercise of more than 43 million warrants; actual proceeds remained subject to holders’ decisions and offer completion.
- After quarter-end, IZEA issued 636,294 restricted shares to former Ebyline shareholders for a $250,000 payment due July 30. The board and shareholders approved an up-to-1-for-25 reverse stock split, but it had not taken effect by the filing date.
- Blue Calypso patent litigation seeks unspecified damages. The PTAB had eliminated most asserted claims, and the parties agreed to principal settlement terms at mediation in July, but were still negotiating the settlement. IZEA could not estimate likelihood or potential exposure.
- Key risks include continued losses and operating cash burn, dependence on successful financing and Ebyline integration, warrant-related earnings volatility, substantial potential share dilution from warrants/options and acquisition payments, and litigation costs or adverse outcomes. The Ebyline purchase-price allocation remained preliminary.
Investor verification priorities
- Verify the warrant offer’s completed exercise level, cash proceeds, share issuance and changes to warrant terms; distinguish the August 7 estimate from completed funding.
- Track cash burn, receivables, unearned revenue, use of the Bridge Bank facility and funding needs for Ebyline consideration.
- Assess whether revenue growth converts into improved gross margins, especially the mix and profitability of Content Revenue and white-label business.
- Review Ebyline’s performance against its revenue-based earnout thresholds and any resulting cash or stock payments.
- Confirm the status and final terms of the Blue Calypso settlement and the effective date and terms of the reverse split.
