SG&A rose 14% to $621 million, including Bai operating and transaction costs, higher marketing and labor expenses, and unfavorable commodity-derivative mark-to-market comparisons. Interest expense increased 21% to $40 million, mainly reflecting debt issued to fund the acquisition. The effective tax rate fell to 28.6% from 35.2%; adoption of stock-compensation accounting guidance provided an $18 million tax benefit and increased diluted EPS by $0.10.

Operating cash flow was affected by unfavorable working-capital comparisons. Investing cash outflow was $1.569 billion, primarily the Bai acquisition; financing cash outflow was $142 million, including $97 million of dividends and $28 million of share repurchases. Capital expenditures were $16 million.

At March 31, total debt obligations were approximately $4.477 billion, including $4.320 billion of senior notes and $157 million of capital leases. Current liabilities were $1.147 billion and stockholders’ equity was $2.193 billion. The company had $73 million of unrestricted cash and $103 million of restricted cash. Its $500 million revolver was undrawn, and it reported compliance with credit-agreement covenants.

Material changes versus the prior comparable period

  • Volume (BCS) increased 1% overall; U.S. and Canada volume was flat, while Mexico and the Caribbean increased 3%. Branded CSD volume rose 1%; branded non-carbonated beverage volume declined 2%.
  • Sales growth reflected $11 million of incremental Bai shipments, favorable product/package and segment mix, higher pricing and shipments, partly offset by $9 million of unfavorable foreign-exchange translation.
  • Operating income declined despite higher sales and gross margin. Segment operating profit fell to $338 million from $377 million; Packaged Beverages profit declined 19% to $141 million.
  • The Bai acquisition produced a $28 million gain from remeasuring the company’s previously held interest. Management reported the acquisition’s net effect reduced Q1 diluted EPS by $0.07, after the gain partly offset transaction/integration expenses, Bai operations and acquisition-related interest.

Outlook, commentary and risks

  • Management expected 2017 capital expenditures, net of disposals, to be approximately 3% of net sales and stated operating cash flows should cover anticipated obligations over the next 12 months.
  • Management cited seasonality, consumer demand, economic conditions, customer collections, supplier availability, acquisition integration, foreign exchange, interest rates and commodity costs as potential liquidity or operating risks. A 10% currency move was estimated to affect annual operating income by approximately $22 million; unhedged commodity-price changes were estimated to affect operating income by $4 million for the remainder of 2017.
  • The company used commodity and currency derivatives to manage exposures, not for speculation. Legal proceedings were not expected by management to have a material adverse effect. No material changes to previously disclosed risk factors or off-balance-sheet arrangements were reported.
  • The filing gave no specific revenue or earnings guidance. Management said the forthcoming revenue-recognition standard was not expected to materially affect annual results, though interim net sales could be affected by timing. The new lease standard was expected to have a significant balance-sheet impact due to lease commitments.

Investor verification points

  • Confirm the filing identity: the document is for Dr Pepper Snapple Group, Inc., not an issuer named Keurig Dr Pepper Inc.
  • Assess whether Bai integration, acquisition-related costs and the acquired brand’s profitability support the purchase-price assumptions.
  • Separate recurring operating performance from the $28 million acquisition gain, $18 million tax benefit and volatile commodity-derivative mark-to-market effects.
  • Review the working-capital drivers behind the decline in operating cash flow and the substantial post-acquisition reduction in cash.
  • Monitor debt service, covenant headroom, seasonality and the company’s ability to fund dividends, repurchases and planned capital spending.
