Product gross margin fell to 38% from 40%, while service gross margin increased to 49% from 45%. Operating margin was 1.8%, compared with 1.1%; net margin was 1.4%, compared with less than 0.1%. Cash from operations declined about 19%. Capital expenditures were $5.7 million. Cash and marketable securities exceeded total debt by approximately $19.4 million.

Fourth quarter: Sales were $54.0 million, including $27.3 million of product and $26.8 million of service sales. Gross profit was $26.0 million and net income was $4.1 million, compared with $50.4 million of sales and $1.0 million of net income in fourth-quarter 2014.

Material changes versus prior year

  • Service sales increased 19%, including growth from the Videotel maritime training acquisition and mini-VSAT airtime. Videotel contributed about $23.2 million of 2015 service revenue; the acquisition closed in July 2014, affecting comparability.
  • Product sales decreased 6%. Guidance and stabilization product sales fell, including TACNAV product sales down 20%; mobile communications product sales were broadly flat.
  • General and administrative expense rose 21% to $29.5 million, largely due to Videotel costs. Interest expense increased to $1.5 million, reflecting borrowing to finance the acquisition.
  • Debt declined from $70.9 million to $64.7 million, and no revolving-credit borrowings were outstanding at year-end. The company reported compliance with its debt covenants.

Outlook, risks and unusual items

  • Management expected 2016 TACNAV product sales to increase from 2015, with much of the expected activity weighted toward year-end; TACNAV results may remain uneven. It expected modest FOG product growth.
  • Management expected continued growth in mini-VSAT and value-added services, and modest improvement in service margins. It anticipated mini-VSAT margin improvement as customers adopted new plans and capacity additions slowed.
  • Management warned that low oil prices were weakening demand from offshore oil-and-gas customers and increasing airtime customer churn; it did not expect improvement in that market in 2016 if oil prices remained depressed. Competition, government procurement timing and funding, satellite capacity and third-party technology dependence, foreign exchange, and seasonality were additional risks.
  • Year-end backlog was $19.8 million, down from $27.3 million; approximately $14.0 million was subject to customer cancellation for convenience. Backlog excludes satellite connectivity and media-content service contracts.
  • The company settled a patent-infringement claim in January 2016. The payment amount is not clearly provided in the filing text; the cash payment was accrued at year-end and paid in January.
  • Material weaknesses identified in 2014 involving revenue recognition and income-tax controls were reported remediated and tested by year-end 2015. Management and the auditor concluded internal control over financial reporting was effective as of December 31, 2015; the financial-statement audit opinion was unqualified.
  • Management said available liquidity and operating cash flows were expected to cover planned needs for at least the next 12 months. No cash dividends were planned.

Key facts for investors to verify

  • Whether service growth and margin gains can offset continued weakness in hardware sales and oil-and-gas-related churn.
  • Delivery timing and cancellation exposure for the TACNAV backlog, including the remaining international military contract work.
  • Debt repayment capacity, covenant headroom, and required cash commitments, including $42.4 million of contractual obligations due within one year.
  • The amount and financial impact of the AMN settlement, and whether the remediated controls remain effective.
  • How Videotel and other acquired businesses perform relative to their acquisition-related costs and recorded goodwill and intangible assets.
