NLIGHT, INC. annual report, FY2020

nLIGHT, Inc. — FY2020 Form 10-K

Reporting period: Fiscal year ended December 31, 2020; this is an annual report, not a standalone Q4 filing. nLIGHT designs and manufactures high-power semiconductor and fiber lasers, serving industrial, microfabrication, and aerospace and defense markets. It reports Laser Products and Advanced Development segments.

Financial performance and liquidity

MetricFY2020FY2019
Revenue$222.8 million$176.6 million
Gross profit / margin$59.4 million / 26.6%$52.3 million / 29.6%
Operating income (loss)($21.0) million($9.9) million
Net income (loss)($20.9) million($12.9) million
Operating cash flow$13.0 million($4.2) million
  • Revenue rose 26.1%. Laser Products revenue increased 6.2% to $184.8 million; Advanced Development revenue was $37.9 million, largely reflecting Nutronics, acquired in November 2019.
  • By end market, Industrial revenue grew 10.2% to $84.5 million, Microfabrication declined 9.6% to $51.6 million, and Aerospace and Defense more than doubled to $86.7 million. The defense increase reflected Nutronics and higher sales to defense customers.
  • Gross margin declined despite higher revenue. Laser Products margin improved to 31.5% from 30.6%, but total margin fell, partly reflecting the mix and 7.3% margin in Advanced Development. Operating expenses rose to $80.4 million, including substantial increases in stock-based compensation and acquisition-related intangible amortization.
  • Cash and equivalents were $102.3 million at year-end, down from $117.3 million. Investing used $24.5 million, including $23.4 million of capital expenditures, primarily for the Camas property and manufacturing equipment.
  • Year-end total liabilities were $63.7 million, including $12.6 million of lease liabilities and $0.4 million of long-term debt. No revolving-credit balance was outstanding. The $40 million secured credit facility expires September 2021; $15 million drawn during 2020 was repaid in Q3.
  • Backlog was $135.8 million versus $112.1 million a year earlier; about 20% was not expected to be filled within 12 months. Backlog may be canceled or delayed and is not a reliable revenue forecast.

Changes, outlook, and notable disclosures

  • Net loss widened year over year, with management attributing the increase principally to higher stock-based compensation and amortization of acquired intangible assets. Stock-based compensation expense rose to $25.5 million from $9.7 million.
  • Management said COVID-19 had not significantly disrupted manufacturing or supply chains to date; the Shanghai facility had a short additional closure after Chinese New Year. Future effects on demand, customers, suppliers, and operations remained uncertain.
  • The filing provides no specific revenue or earnings guidance. Management stated existing liquidity should cover working capital and capital expenditure needs for at least the next 12 months, while noting future capital needs could vary and additional financing may be considered.
  • Key risks include customer concentration and short-term, potentially cancellable orders; price competition and declining product selling prices; cyclical industrial and microfabrication demand; defense-budget and contract timing; COVID-19; reliance on limited-source suppliers; international trade, tariff, export-control, and currency exposure; and inventory obsolescence. The top ten customers generated about 60% of FY2020 revenue.
  • nLIGHT acquired OPI Photonics in July 2020 for approximately $1.6 million; its post-acquisition revenue and earnings were not material. The Camas commercial property purchase expanded facilities. Auditors issued unqualified opinions on the financial statements and internal controls; OPI’s controls were excluded from the year-end assessment.

Investor verification priorities

  • Assess whether revenue growth, especially in Aerospace and Defense, can be sustained apart from the Nutronics acquisition and whether microfabrication demand recovers.
  • Track gross margin, operating expenses, and the effect of stock-based compensation and acquisition-related amortization on profitability.
  • Review cash conversion and working-capital needs, particularly inventory, which increased to $54.7 million from $46.1 million.
  • Evaluate customer concentration, backlog conversion and cancellation risk, and the September 2021 credit-facility renewal or replacement.
