Material Changes Versus the Prior Comparable Period
- Revenue increased 3.1%, primarily from stronger microcontroller demand. Excluding distributor inventory changes, sales increased approximately 2.0%.
- Gross margin improved as unabsorbed capacity charges declined to $29.6 million from $47.2 million, while product mix and lower average costs also helped.

Guidance, Outlook, Management Commentary and Risks
Management reported unexpectedly strong demand in the second half of fiscal 2021, particularly in consumer, automotive and industrial markets. However, wafer fabrication, assembly and test constraints were expected to persist through the remainder of calendar 2021 and possibly into calendar 2022, with longer product lead times. The Company expected overall capacity to increase each quarter during calendar 2021.
- Planned fiscal 2022 capital expenditures were $225 million to $275 million for equipment and facilities, funded principally by cash flow from operations and existing cash.
- The Company expected to operate manufacturing facilities at or above normal capacity during fiscal 2022 if supply constraints relative to demand continued.
- Management expected June 30, 2021 inventory days to be flat to down five days from March 31, 2021.
- The Preferred Supply Program provides prioritized capacity beginning July 2021 for customers placing 12 months of continuous, non-cancellable and non-reschedulable orders. A significant portion of capacity was booked under the program, but the program is not a guarantee of supply.
- A quarterly dividend of $0.413 per share was declared on May 6, 2021. The Company stated that future dividends remain subject to Board discretion, financial performance, cash requirements and market conditions.
Principal risks include COVID-19 and related disruptions, supply-chain and foundry capacity constraints, reliance on third-party wafer fabrication and assembly providers, semiconductor cyclicality and pricing pressure, international operations and trade restrictions, distributor concentration, cybersecurity incidents, intellectual-property claims, tax audits, acquisition integration, goodwill and intangible-asset impairment, and the Company’s substantial debt burden.
The Company had goodwill of $6.671 billion and net intangible assets of $4.795 billion at March 31, 2021. No goodwill impairment was recorded in fiscal 2021 or fiscal 2020. Pending legal matters included shareholder and derivative litigation related to the Microsemi acquisition, an SEC investigation concerning Microsemi-related matters and an arbitration claim by Continental. The Company estimated possible but not probable legal exposure at approximately $100 million above accrued amounts.
Unrecognized tax benefits totaled $826.3 million, of which $720.5 million could affect the effective tax rate if recognized. The projected benefit obligation for foreign pension plans was $83.0 million. The Company’s internal control over financial reporting was assessed as effective, and Ernst & Young issued unqualified opinions on the financial statements and internal controls.
Most Important Facts for Investors to Verify
- Reconcile the strong operating-income improvement with the decline in net income and diluted EPS, particularly the debt-settlement loss and unusual tax benefits.

- Monitor whether supply constraints, capacity additions and the Preferred Supply Program translate into sustained revenue growth without adversely affecting margins or working capital.
- Assess the sustainability of the 62.1% gross margin as product mix, pricing, manufacturing utilization and foundry costs change.
- Evaluate exposure to China, Taiwan, foreign exchange, tariffs, export controls and international supply-chain disruptions.
- Review the assumptions supporting $6.671 billion of goodwill, $4.795 billion of net intangible assets and projected future amortization.
- Track the outcomes of tax audits, $826.3 million of unrecognized tax benefits and the valuation of intra-group intellectual-property tax benefits.
- Review the status and potential financial impact of Microsemi-related litigation, the SEC investigation and the Continental arbitration.
