FY2022 R&D expense is presented net of $73.3 million in Janssen reimbursements and $6.8 million in tax-incentive reimbursements; gross R&D expense was $165.8 million. No product-sales margins are available because the company has not launched a product. Current assets were $154.3 million and current liabilities $82.1 million at year-end.

Material changes versus FY2021

  • Net loss widened by $50.1 million as operating expenses rose $21.8 million and license revenue fell $21.8 million. The revenue decline primarily reflects a $30.0 million Janssen milestone received in 2021, with revenue recognized over time.
  • Net R&D expense increased $19.0 million, reflecting higher clinical-material manufacturing, payroll, clinical and preclinical activity, share-based compensation, and facility costs, partly offset by increased Janssen reimbursements and tax credits.
  • Operating cash use rose to $73.1 million from $10.5 million. Investing outflows remained substantial, including $45.0 million of property and equipment purchases and facility buildout.
  • Cash declined $22.2 million year over year. Financing provided $95.2 million, mainly from $75.0 million of debt and a $25.0 million private placement to Johnson & Johnson’s JJDC, partly offset by fees and share-tax withholding payments.
  • The company recorded $9.5 million of foreign-currency loss and $4.9 million of interest expense, both higher than in 2021.

Outlook, management commentary, and risks

  • Management estimated that year-end cash and expected Janssen research funding and milestone payments would fund operating and capital needs through Q4 2024. The estimate depends on assumptions and could prove insufficient; the company expects continued losses and requires additional capital.
  • Management said the Phase 3 Lumeos trial of botaretigene sparoparvovec was dosing and remained on track for a BLA submission in 2024. The company also intended to start a randomized Phase 2 AAV-hAQP1 study in Q2 2023 and anticipated completing enrollment in its AAV-GAD Phase 1 study by Q3 2023. These are forward-looking plans, not reported outcomes.
  • In the AAV-hAQP1 Phase 1 trial, the company reported symptom improvement in 18 of 24 participants and increased salivary flow; it reported no dose-limiting toxicity or treatment-related serious adverse events. These are company-reported clinical findings; longer follow-up and controlled-trial data remain important.
  • Perceptive’s $75.0 million notes bear floating interest at 10% plus one-month SOFR, subject to a 1% floor; the rate was 13.02% at year-end. The notes mature August 2, 2026, are interest-only during the term, and are secured by manufacturing facilities, specified cash and subsidiary interests. An additional $25.0 million tranche is at Perceptive’s discretion.
  • Debt covenants include clinical and manufacturing milestones, a minimum $3.0 million U.S. bank balance, and restrictions on debt, liens, investments, dividends, and certain corporate actions. Default may increase interest and permit acceleration. A 1% increase in SOFR was estimated to add about $0.8 million to annual interest expense.
  • Principal risks include clinical and regulatory failure or delay, manufacturing scale-up and compliance, reliance on Janssen and other third parties, need for further financing, competition, intellectual-property and licensing exposure, and foreign-exchange and interest-rate risk. A 10% unfavorable currency movement was estimated to cause an additional $28.1 million foreign-currency loss. No material legal proceedings or new material contingencies were reported.

Important facts for investors to verify

  • Whether Lumeos progresses to the stated 2024 BLA target and whether trial results support regulatory approval.
  • Actual cash runway, Janssen receipts and milestones, and the timing and terms of any required additional financing.
  • Debt covenant compliance, the cost of floating-rate borrowing, and whether Perceptive makes the optional $25.0 million tranche available.
  • Durability and controlled-trial confirmation of AAV-hAQP1 results, and safety and efficacy data from AAV-GAD and other clinical programs.
  • Execution, regulatory readiness, capacity, and costs of the Shannon manufacturing facilities, including compliance with the debt covenant deadline.
  • Share dilution from equity compensation and financing: ordinary shares outstanding were 48.5 million at year-end, and Perceptive received warrants for 700,000 shares.
