Business context and reporting period
MarketWise, Inc. filed this Form 10-K for the fiscal year ended December 31, 2021. It operates a digital, multi-brand subscription platform offering financial research, software, education, and tools to self-directed investors. The company reported approximately 972,000 paid subscribers and 13.7 million free subscribers at year-end. The July 21, 2021 business combination with Ascendant Digital Acquisition Corp. was accounted for as a reverse recapitalization; prior-period results are those of MarketWise, LLC, the accounting predecessor. This is an annual filing, not a standalone fourth-quarter report.
Financial and operating performance
| Metric | 2021 | 2020 | Change |
|---|---|---|---|
| Total net revenue | $549.2 million | $364.2 million | +50.8% |
| Billings | $729.9 million | $548.8 million | +33.0% |
| Net cash from operating activities | $63.6 million | $55.9 million | +13.9% |
| Adjusted cash flow from operations (non-GAAP) | $197.1 million | $134.3 million | +46.8% |
| Paid subscribers at year-end | 971,534 | 856,826 | +13.4% |
| ARPU | $742 | $759 | -2.2% |
Subscriptions generated $543.9 million of 2021 revenue: $351.6 million from term subscriptions and $192.3 million from lifetime subscriptions. Revenue is generally recognized over the subscription term, while billings are typically collected in advance. Lifetime subscriptions represented approximately 42% of 2021 billings.
GAAP operating loss was $967.6 million and consolidated net loss was $953.9 million, compared with operating loss of $538.7 million and net loss of $541.1 million in 2020. Net loss attributable to MarketWise, Inc. was $1.013 billion in 2021. The unusually large losses principally reflect $1.063 billion of stock-based compensation expense, largely related to the pre-transaction Class B unit liability’s fair-value changes and accelerated vesting at the business combination. After the transaction, that legacy expense ceased; ordinary-course stock compensation remains.
Operating cash flow margin was 11.6% of revenue, down from 15.3% in 2020. Adjusted CFFO margin, a company-defined non-GAAP measure, was 27.0% of billings, up from 24.5%. The filing attributes the gap between operating cash flow and Adjusted CFFO primarily to Class B unitholder profit distributions included in stock-based compensation, plus a $10.0 million one-time founder bonus addback in 2021.
Cash, cash equivalents, and restricted cash totaled $139.6 million at year-end, including $139.1 million of cash and cash equivalents. Deferred revenue was $710.2 million, including $317.1 million classified as current; approximately 45% of remaining performance obligations was expected to be recognized over the next 12 months. The company reported total liabilities of $826.8 million, including $29.3 million of warrant liabilities and deferred revenue; the new revolving credit facility had no outstanding borrowings. The balance sheet showed a $405.3 million total stockholders’ deficit, substantially affected by the noncontrolling-interest and transaction accounting.
Net cash used in investing activities was $8.3 million, mainly for the Chaikin acquisition. Net cash used in financing activities was $30.7 million, including $135.5 million of member distributions and $113.6 million of net transaction proceeds. The company repurchased 500,270 Class A shares for $3.3 million in 2021.
Material changes versus prior periods
- Revenue grew 50.8% and billings grew 33.0%, driven by subscriber growth and higher term and lifetime subscription sales. Chaikin Analytics, acquired in January 2021, contributed $7.5 million of revenue and $26.6 million of organic new billings.
- Paid subscribers rose 13.4%; free subscribers increased 43.8% to 13.7 million. ARPU declined modestly as subscriber additions, generally at entry-level prices, outpaced billings growth.
- Operating cash flow rose, but its margin declined. Adjusted CFFO and its margin increased; these are non-GAAP measures and should be assessed alongside GAAP cash flow.
- The 2021 and 2020 GAAP losses were heavily affected by noncash Class B unit valuation and compensation expense. The 2021 business combination changed the company’s capital structure and reporting, so headline GAAP results are not directly comparable without considering these items.
Outlook, commentary, risks, and unusual items
Management gave no specific numerical revenue or earnings guidance. It said available cash and operating cash flows were expected to support working capital and capital expenditure needs for at least 12 months. Management expects continued investment in marketing, product development, technology, and public-company infrastructure, and intends to pursue selective acquisitions. It described subscriber acquisition costs as rising during parts of 2021 as digital advertising demand increased, and said marketing spend was adjusted in response.
- Liquidity and obligations: The $150 million revolving facility matures October 29, 2024, is secured by substantially all assets of MarketWise, LLC and guarantors, and carries leverage and interest-coverage covenants. The company also expects potentially substantial Tax Receivable Agreement payments: generally 85% of specified realized or deemed tax benefits for eligible former LLC members. No TRA liability had been recorded at year-end because no unit exchanges had occurred.
- Governance and dilution: MarketWise Members held approximately 91.1% of voting power, and may redeem or exchange LLC units for Class A shares or, at the company’s option, cash. Warrants, earnout shares, and potential resales after lock-up expirations may add dilution or selling pressure. The company had a $35 million share-repurchase authorization and did not pay dividends.
- Controls: Management had not concluded that identified material weaknesses in financial reporting controls were remediated as of year-end, and disclosure controls were deemed ineffective. The auditor issued an unqualified opinion on the financial statements but was not engaged to audit internal control effectiveness.
- Business risks: Results depend on attracting, retaining, and expanding paid subscriptions; content quality and editorial reputation; marketing-channel access and acquisition costs; and the ability to adapt products and technology. Other stated risks include competition, economic and market conditions, cybersecurity and privacy, third-party service providers, regulation of financial publishing and marketing, and acquisition integration.
- Unusual items: The year included a $10.0 million discretionary founder bonus and $8.5 million of out-of-period adjustments that reduced reported 2021 net loss; management described the prior-period misstatements as immaterial. Warrant liabilities are remeasured through earnings, creating potential volatility.
Important facts for investors to verify
- Separate recurring operating performance from the legacy Class B unit fair-value and accelerated-vesting expense; review the company’s non-GAAP reconciliations and their assumptions.
- Track paid-subscriber retention, churn, ARPU, renewal behavior, and whether billings growth converts into recognized revenue and operating cash flow.
- Review deferred contract acquisition costs, which reached $203.1 million, and the assumptions used to amortize them and estimate lifetime customer lives.
- Assess cash available after member tax distributions, future TRA obligations, transaction-related structure, and any borrowing under the secured credit facility.
- Monitor remediation of the material weaknesses, future control assessments, and the impact of potential unit exchanges, warrants, earnouts, and shareholder resales on dilution and liquidity.
