Net cash used in investing was $17.4 million, including $11.7 million of property, plant and equipment spending and $6.0 million for plant turnarounds.
Long-term debt, net, was $430.0 million at quarter-end, compared with $421.2 million at year-end 2023. The partnership reported $50.0 million drawn on its $175 million revolving credit facility and $9.2 million in letters of credit; stated remaining facility availability was $115.8 million, with approximately $101.4 million of additional borrowing capacity after considering covenants. The facility’s weighted-average rate was 8.68%; the $400 million senior notes bear 11.5% interest and mature in February 2028. The partnership reported covenant compliance.
Changes and operating drivers
- Revenue declined 26%, primarily because the partnership exited butane optimization in Q2 2023. That business had contributed $56.9 million of Q1 2023 revenue and $56.2 million of product costs; it is not a like-for-like reduction in ongoing fee-based activity.
- Despite lower revenue, operating income increased modestly, and adjusted EBITDA rose to $30.4 million. Lower interest expense and the absence of the prior-year debt-extinguishment loss helped the return to net income.
- Specialty products revenue fell by $65.9 million, mostly from the butane exit; segment operating income was nearly flat at $4.6 million. Sulfur services operating income fell 19% to $3.7 million as product margin per ton decreased 27%, partly offset by higher volumes. Transportation operating income increased 4% to $9.8 million, while terminalling and storage increased to $3.7 million before intersegment eliminations.
- Operating cash flow fell $39.2 million year over year, principally due to a $39.3 million unfavorable working-capital variance. Lower cash flow, higher capital and turnaround spending, and negative adjusted free cash flow are important liquidity considerations.
Outlook, risks, and notable items
- No numerical full-year earnings or cash-flow guidance is provided. Management expects liquidity to come primarily from operating cash flow, borrowings, and debt or equity capital markets, and expects covenant compliance over the next 12 months.
- On April 17, 2024, the partnership declared a quarterly distribution of $0.005 per common unit, or $0.020 annualized, payable May 15, 2024. This is a subsequent event and should not be confused with cash distributions paid during Q1.
- The partnership’s ELSA semiconductor-grade sulfuric-acid joint venture is expected to require approximately $25.5 million of aggregate capital expenditures. Approximately $13.8 million had been funded by March 31; a further $6.5 million contribution was made April 1, 2024.
- Commodity prices and seasonal demand affect NGL and fertilizer activity; the partnership had no commodity hedging positions at quarter-end. A 100-basis-point interest-rate increase was estimated to raise annual interest expense by approximately $0.5 million on unhedged floating-rate debt.
- A customer’s indemnity claims related to settled marketing lawsuits remain disputed. The partnership says potential exposure cannot currently be determined; trial is expected in Q1 2025. Management considers other ordinary-course legal matters not expected to have a material adverse effect.
- Related-party dependence is material: Martin Resource Management Corporation controlled the general partner, owned approximately 15.7% of common units, and accounted for approximately 15% of Q1 revenue. Related-party transactions represented approximately 26% of total costs and expenses. The partnership has no employees and reimburses the affiliate for direct and allocated costs.
Important facts for investors to verify
- Whether operating cash flow and distributable cash flow recover after the unusually unfavorable working-capital movement, and whether capital and turnaround spending remains elevated.
- Revolver availability and covenant headroom, given the 8.68% variable-rate borrowing cost, $400 million of 11.5% notes, and minimal cash on hand.
- Whether the declared $0.005 distribution is supported by recurring cash generation, especially with Q1 adjusted free cash flow below zero.
- Progress, remaining funding needs, and expected returns for the ELSA project, including the April 2024 contribution.
- Developments in the unresolved customer litigation and any change in the ability to estimate exposure.
- The ongoing impact of affiliate transactions, cost allocations, and customer concentration; the filing notes these arrangements and allocation methods involve judgments.
