Monopar Therapeutics Inc. — 2017 Form 10-K
Reporting period: Fiscal year ended December 31, 2017; filed March 26, 2018. This is an annual report, not a standalone fourth-quarter report. The company is a clinical-stage oncology biotech with no approved products or commercial revenue.
Financial results and liquidity
| Metric | FY 2017 | FY 2016 |
|---|---|---|
| Revenue | $0 | $0 |
| Research and development expense | $0.94 million | $0.28 million |
| In-process R&D expense | $14.50 million | $0 |
| General and administrative expense | $1.17 million | $0.91 million |
| Total operating expenses | $16.60 million | $1.19 million |
| Net loss | $16.55 million | $1.19 million |
| Cash used in operating activities | $2.63 million | $1.19 million |
| Cash and cash equivalents at year-end | $8.98 million | $2.07 million |
The 2017 in-process R&D charge primarily reflected the $13.49 million assigned to MNPR-201 in the Gem transaction and the $1.0 million Validive license fee. The transaction also brought in $5.0 million cash before costs. Financing activities provided $9.54 million in 2017, principally from common-stock sales and the Gem transaction. There were no investing cash flows. Operating margins are not meaningful because the company had no revenue.
At December 31, 2017, total assets were $9.93 million, including $0.80 million of restricted cash held in escrow; current liabilities were $0.31 million, with no long-term liabilities reported. No borrowings are disclosed. Accumulated deficit was $18.43 million. Management stated that available resources were expected to fund minimum or “minimal” operations through March 2019, and concluded in February 2018 that there was no substantial doubt about the company’s ability to continue as a going concern. It also said significant additional capital would be needed to execute development plans.
Business, pipeline, and changes from 2016
- Validive: In September 2017, Monopar exercised its worldwide license option for clonidine mucobuccal tablets, targeting radiation-induced severe oral mucositis in oropharyngeal cancer patients. The candidate is Phase 3-ready. The cited Phase 2 study enrolled 183 head-and-neck cancer patients; in the oropharyngeal cancer subgroup, the 100 μg dose reduced severe mucositis incidence versus placebo, but the reported p-value of 0.09 was not statistically significant. The company also reported favorable trends in other outcomes.
- MNPR-201 (GPX-150): Acquired from TacticGem in August 2017. It is a doxorubicin analog intended to retain anticancer activity while reducing cardiotoxicity. A 22-patient Phase 2 soft-tissue sarcoma study was completed in early 2017; the company reported anticancer activity and no observed irreversible cardiotoxicity in the study. These findings do not establish efficacy or safety for broader use.
- MNPR-101: A preclinical humanized antibody targeting uPAR. The company said IND-enabling work was nearly complete, but Cancer Research UK notified it on March 21, 2018 that it was terminating its collaboration and would transfer generated data and know-how. Monopar was considering alternative collaborators.
Compared with 2016, net loss rose by $15.37 million, largely because of the 2017 in-process R&D charge associated with the Validive license and MNPR-201 asset acquisition. Cash increased following equity financing and the Gem transaction. The 2017 program expansion also increased operating cash use and is expected to increase future spending.
Outlook, risks, contingencies, and unusual items
- Management planned an FDA pre-Phase 3 meeting for Validive in Q2 2018 and targeted starting Phase 3 in the second half of 2018. Its stated plan anticipated an interim analysis in Q4 2019 and final data in the first half of 2021; these were targets, not assurances or formal financial guidance.
- Management aimed to start one or more MNPR-201 Phase 2 trials in the first half of 2019 and planned an MNPR-101 pre-IND meeting in Q3 2018. MNPR-101’s collaboration termination creates development, manufacturing, and funding uncertainty.
- Monopar had no product revenue and expected continued losses. It identified additional financing as necessary; equity issuance could dilute shareholders, while debt or collaboration financing could impose restrictive terms or require surrendering rights.
- Validive’s Onxeo agreement provides for potential clinical, regulatory, development, and sales milestone payments totaling up to $108 million and tiered royalties of 5%–10% on net sales. The XOMA license for MNPR-101 includes potential milestones of up to $14.925 million, with no sales royalties. No milestones or royalties had been earned or paid by year-end.
- The company relies on third-party manufacturers and collaborators, had not executed manufacturing agreements for its candidates, and reported no owned manufacturing facilities. Key risks include clinical and regulatory failure, delays, access to capital, competition, reimbursement, intellectual-property protection, and share dilution.
- The Gem transaction was recorded as an asset acquisition and produced a $14.50 million in-process R&D charge. Monopar reported no material legal proceedings. The 2017 financial statements received an unqualified independent audit opinion; the auditor did not audit internal controls, and the company did not include management’s internal-control assessment under the applicable newly public company transition relief.
Important facts for investors to verify
- Current cash, restricted cash, spending rate, and financing needs against the company’s stated minimum-operations runway; distinguish year-end 2017 balances from subsequent financing.
- FDA feedback and actual timing, design, funding, enrollment, and statistical assumptions for the Validive Phase 3 program, particularly given the Phase 2 subgroup result was not statistically significant.
- Whether MNPR-101 data and know-how were transferred from Cancer Research UK, and whether replacement development, manufacturing, and collaboration arrangements were secured.
- Potential milestone and royalty exposure under the Onxeo and XOMA agreements, alongside dilution from future financing and stock-option issuance.
- Ownership and liquidity: TacticGem held 77.1% of outstanding shares as of March 1, 2018; the filing stated there was no established public trading market for the common stock.
