Revenue growth was led by DC-to-DC converters, up 11.0% to $188.7 million (88.3% of revenue). Lighting-control revenue declined 5.3% to $25.1 million. Gross-margin improvement reflected lower inventory reserves and a more favorable product mix; FY2011 margin had been pressured by lower selling prices, under-absorbed test costs and higher inventory reserves.

Fourth quarter: Revenue was $48.2 million, versus $47.5 million in Q4 2011 and $56.5 million in Q3 2012. Gross profit was $25.6 million (about 53.0% margin); operating income was $1.0 million and net income was $0.2 million, or $0.01 diluted EPS. Q4 2012 included $2.6 million of net litigation benefit and elevated stock-based compensation, including $2.8 million from an option modification associated with the special dividend.

Liquidity, cash flow and capital structure

  • At year-end, cash and cash equivalents were $75.1 million and short-term investments were $85.5 million, totaling $160.6 million; working capital was $190.8 million.
  • Operating cash flow was $24.9 million. Investing activities used $26.8 million, including capital spending and net investment purchases; financing activities used $19.6 million, principally reflecting the $35.7 million special cash dividend, partly offset by equity-plan proceeds.
  • Total assets were $287.2 million, total liabilities $28.9 million and stockholders’ equity $258.3 million. The balance sheet reports no borrowings; the filing reports no off-balance-sheet arrangements.
  • The company paid its first dividend, $1.00 per share, totaling approximately $35.7 million. Management said it did not anticipate further cash dividends.

Material changes, outlook and risks

  • FY2012 revenue recovered from the 10.2% decline in 2011, but remained below FY2010’s $218.8 million. Management attributed part of the 2011–2012 impact to Korean customers switching suppliers after MPS’s 2010 capacity-related product shortages.
  • Operating expenses rose 8.7% to $95.9 million. R&D increased 9.6% to $48.8 million; SG&A increased 24.2% to $50.0 million. Litigation expense became a $2.9 million net benefit, mainly reflecting $3.7 million received from Linear and Silergy.
  • Management expected cash from operations, cash balances and short-term investments to meet liquidity needs for the next 12 months. It planned continued product development and expected R&D expenses to rise in absolute dollars. The filing does not provide a quantified 2013 revenue or earnings outlook.
  • Revenue concentration is significant: the largest distributor represented 32% of FY2012 revenue, and 89% of revenue was attributable to direct or indirect sales to customers in Asia. MPS depends on three wafer suppliers and uses third-party assembly and test providers; capacity, inventory forecasting and customer order cancellations are key risks.
  • At year-end, $11.8 million of auction-rate securities remained illiquid, with $12.3 million face value; auctions had failed and underlying maturities extend up to 35 years. The company carried these investments as long-term and estimated liquidity could take about two years.
  • The IRS audit of 2005–2007 tax returns concerns cost-sharing and related matters. A revised IRS proposal indicated a maximum potential federal tax adjustment of $10.5 million, plus interest and penalties, if the IRS prevailed; management disputed the proposal and believed no significant impact was likely. The filing also notes an earlier, superseded potential estimate of up to $37.0 million.
  • O2 Micro appealed a judgment awarding MPS approximately $9.1 million in attorneys’ fees and costs, plus interest. Silergy payments remained partly due in 2013. Litigation outcomes and expense timing remain uncertain.

Investor verification points

  • Confirm subsequent revenue, margins and earnings against the weak Q4 2012 net-income result and the absence of quantified 2013 guidance.
  • Track distributor concentration, Asian end-market exposure, and whether MPS secures sufficient wafer and outsourced manufacturing capacity.
  • Review inventory growth to $32.1 million and working-capital demands, which contributed to lower operating cash flow.
  • Monitor the IRS audit, O2 Micro appeal, remaining Silergy payments and future litigation costs.
  • Assess the valuation and liquidity assumptions for auction-rate securities and the company’s dividend and capital-allocation policy.
