Material changes and management commentary
- First-half net income rose by about $1.0 million. The principal revenue driver was mortgage activity: income on loans held for sale reached $12.76 million for the half-year versus $1.07 million in 2012. The company also recorded $0.70 million in derivative gains and $0.66 million in capitalized mortgage servicing income.
- Growth in mortgage revenue was accompanied by higher costs. First-half other expense increased to $20.39 million from $7.01 million, reflecting PMG, added branches and staff, and higher mortgage processing and operating costs. The efficiency ratio worsened.
- Net interest income increased with loan growth and lower funding costs, but lower loan yields pressured margin: Q2 margin declined 11 basis points year over year. Management cited competition for quality loans and the low-rate environment.
- Management’s stated priority is continued growth in core deposits to fund expansion, while balancing deposit growth against net interest margin. No numerical earnings or growth guidance is provided.
- The company completed an accredited-investor stock offering in March 2013. The filing reports $13.7 million of net offering proceeds in first-half cash flows and separately describes a broader offering of 1,132,527 shares totaling $27.2 million; the period-specific issuance figures should be reconciled.
Risks, contingencies, and unusual items
- Available-for-sale securities had $3.31 million of unrealized losses at June 30, versus $0.32 million at year-end. Management considered the declines temporary, stated it had no intent to sell and believed it could hold the securities until principal recovery. Accumulated other comprehensive loss increased to $2.49 million.
- Management identifies credit-loss estimates and the allowance for loan losses as significant judgment areas. Credit, collateral values, local economic conditions, interest rates, deposit flows, competition, capital access, regulation, and execution and integration of acquired businesses are among the disclosed risks.
- Management reported no material change in market risk since year-end, no known legal proceedings expected to have a material adverse effect, and no material change in internal control over financial reporting. Disclosure controls were assessed as effective.
- Management said liquidity needs were met by cash, available funding sources, and maturing assets. The Bank uses multiple wholesale funding channels; FHLB advances, brokered deposits and repurchase agreements are among them.
