Material changes and fourth-quarter results
- Segment sales: NSP Americas fell 5.8% to $184.6 million; NSP Russia, Central and Eastern Europe fell 19.9% to $50.3 million; Synergy grew 18.3% to $128.1 million; China and New Markets grew 17.5% to $3.4 million. South Korea and Japan drove much of Synergy’s growth.
- Active Distributors and customers declined to 292,600 from 332,400, while active Managers fell to 13,400 from 16,400. The company attributed weakness in its traditional NSP segments partly to reduced distributor activity.
- Fourth-quarter sales were $86.7 million versus $93.3 million a year earlier. Operating income was $0.8 million versus $2.3 million; continuing-operations income was $0.9 million versus $1.8 million. The quarter recorded a $4.1 million net loss, including a $5.0 million discontinued-operations loss.
- In November 2014, the company exited Venezuela due to import restrictions, difficulty repatriating cash, and high inflation. The discontinued-operations loss included a $7.8 million exit charge, including a $2.9 million fixed-asset impairment and a $4.1 million noncash write-off of cumulative translation adjustments.
Liquidity, debt, and capital allocation
- Year-end cash and cash equivalents were $58.7 million, down from $77.2 million; working capital was $63.3 million, down from $80.0 million. Of cash, $49.2 million was held in foreign markets and could be subject to repatriation restrictions or taxes.
- The company had no outstanding borrowings under its $25 million revolving credit facility at year-end and reported compliance with its covenants. The facility was scheduled to mature September 1, 2016.
- Investing cash outflow was $26.7 million. Capital spending included $26.3 million of property and equipment purchases; the company expected the Oracle ERP project to be completed in 2016.
- Financing cash outflow was $5.1 million, including $35.2 million in dividends and $7.5 million in share repurchases, partly offset by $44.8 million of net proceeds from Fosun Pharma’s private placement. The company paid $1.90 per share in dividends, including a one-time $1.50 special dividend, and authorized a new $20 million repurchase program beginning in 2015.
- Management stated that cash, operating cash flows, and available credit were expected to fund normal operating needs, dividends, repurchases, capital expenditures, and potential business development. However, operating cash generation declined while capital spending rose.
Outlook, risks, and unusual items
- No numerical financial guidance was provided. Management expected Russia, Ukraine, and neighboring-market sales to remain pressured in the near term by political unrest, possible sanctions, and currency devaluation; currency weakness continued into 2015. Management also cautioned that South Korea’s exceptional growth was not expected to continue at the same pace.
- The Fosun Pharma China joint venture is 80% owned by Nature’s Sunshine and 20% by Fosun Pharma. Its retail and direct-selling strategy depends on product registrations, permits, licenses, and other approvals; timing and success were uncertain.
- Foreign exchange is a significant exposure: 59.5% of 2014 sales were generated outside the U.S. The filing’s sensitivity analysis estimates that a 10% strengthening of the U.S. dollar against fluctuating currencies would reduce reported sales by $14.0 million and operating income by $0.4 million, all else equal. The company did not use derivatives to hedge currency risk.
- Other principal risks include distributor recruitment and retention, extensive product and direct-selling regulation, product claims and liability, transfer pricing and tax assessments, raw-material and manufacturing continuity, inventory obsolescence, competition, IT/ERP implementation, and reliance on third-party distributors. The company highlighted ongoing geopolitical and currency risks in Russia and Ukraine.
- Recorded unrecognized tax-benefit liabilities were $6.6 million, and accrued non-income-tax contingencies were approximately $2.8 million. Other foreign tax and civil proceedings could involve future payments estimated by the company at $0 to $0.4 million; outcomes remain uncertain.
- The independent auditor issued an unqualified opinion on the financial statements and internal control over financial reporting. Management and the auditor concluded internal controls were effective at December 31, 2014.

- The realized impact of currency devaluation, sanctions, and political conditions on sales, pricing, and distributor purchasing power.
- The final costs or recoveries relating to Venezuela, tax positions, and other non-income-tax or legal contingencies.
