Nordson Corporation — Q2 FY2024 Form 10-Q

Reporting period: Three and six months ended April 30, 2024. Q2 sales were essentially flat year over year: acquisition contribution of 4.5% was largely offset by organic sales decline of 3.7% and unfavorable currency translation of 0.7%. Gross margin improved on manufacturing efficiencies and favorable mix, but operating margin declined as sales provided less leverage on selling and administrative costs. Net income fell 7.3%, primarily because interest expense more than doubled to $20.1 million, reflecting higher average debt levels after acquisitions.

For the first six months, sales rose 1.8%, with acquisition contribution of 4.9% offset by organic decline of 2.9% and unfavorable currency effects of 0.2%. Operating profit increased 3.6% and operating margin improved 0.5 percentage points, but net income declined 1.7% as interest expense rose to $41.6 million from $20.4 million.

Segments and markets

  • Industrial Precision Solutions: Q2 sales increased 9.3% to $367.0 million, mainly from the ARAG acquisition and organic growth in industrial coatings and packaging. Six-month sales rose 11.5%. Margins were pressured by ARAG-related amortization.
  • Medical and Fluid Solutions: Q2 sales increased 1.5% to $169.0 million; six-month sales increased 2.4%. Management cited growth in fluid and interventional solutions and improved factory efficiencies.
  • Advanced Technology Solutions: Q2 sales fell 22.4% to $114.7 million and six-month sales fell 20.1%, reflecting broad weakness across the segment. Q2 operating margin also declined.
  • Q2 regional sales: Americas increased 5.6%, Europe increased 8.4% (including acquisition contribution despite organic decline), and Asia Pacific decreased 14.4%. The filing attributes ongoing electronics product-line pressure as a principal drag.

Cash flow, balance sheet and liquidity

  • Six-month operating cash flow was $295.0 million, versus $287.9 million a year earlier. Capital expenditures were $21.9 million; cash used in investing was $15.2 million, compared with $393.2 million in the prior period, which included the CyberOptics acquisition.
  • Financing used $265.8 million, including $204.4 million of net debt repayments and $77.8 million of dividends. Cash increased $9.8 million to $125.4 million.
  • At April 30, cash was $125.4 million; current assets were $1,185.6 million and current liabilities $536.0 million. Receivables were $530.3 million and inventories $443.6 million.
  • Current maturities and long-term debt totaled approximately $1,533.7 million on the balance sheet, down from $1,737.1 million at October 31, 2023. The company also had $280 million outstanding on its term loan and $60 million on its $850 million revolving facility; the weighted-average rate on credit-agreement borrowings was 6.36%.
  • Nordson reported compliance with all debt covenants. Management expects operating cash flow, borrowing capacity and capital-market access to be adequate for liquidity needs over the next 12 months and foreseeable future.

Outlook, risks and notable items

  • The filing provides no specific numerical sales or earnings guidance. Management identifies electronics weakness and foreign exchange, economic conditions, acquisition integration, trade and tax changes, and geopolitical events as risks to results.
  • ARAG, acquired in August 2023, contributed to sales growth and increased amortization and administrative expenses. Its purchase-price allocation remained preliminary, principally pending completion of the income-tax assessment.
  • Environmental remediation accruals for the New Richmond, Wisconsin site were $231,000. Management does not expect remediation costs or other pending and potential litigation to materially adversely affect financial condition, results or cash flows, while noting estimates and obligations remain subject to uncertainty.
  • Management said disclosure controls were effective as of April 30, 2024; there were no material changes in internal control over financial reporting and no material changes to previously disclosed risk factors.
  • Daniel R. Hopgood became CFO effective May 20, 2024, after the quarter-end; Stephen Shamrock served as principal financial officer through the filing.

Investor verification priorities

  • Track whether Advanced Technology Solutions demand and Asia Pacific sales recover, and whether organic growth improves without acquisition contributions.
  • Assess the durability of gross-margin gains against operating-expense growth, ARAG amortization and elevated interest costs.
  • Review debt reduction, refinancing and interest-rate exposure, including the maturity schedule and available revolving capacity.
  • Monitor ARAG integration and final purchase-price allocation, as well as the company’s ability to convert earnings into operating cash flow.
  • Confirm the development of environmental, litigation and other contingencies and the impact of currency, economic and geopolitical risks.
