Financial performance and position

MetricQ1 2021Q1 2020 / prior period
RevenueNo product or collaboration revenueNo product or collaboration revenue in Q1 2020
Research and development expense$3.3 million$8.1 million
General and administrative expense$4.2 million$4.2 million
Total operating expenses$7.5 million$12.3 million
Net loss$8.8 million$12.2 million

Cash used in operating activities$5.2 million$9.2 million
Cash, cash equivalents and restricted cash$80.2 million at March 31, 2021$25.5 million at December 31, 2020

Research and development expense fell primarily because the three-month core portion of the roluperidone Phase 3 trial was completed in May 2020. Net loss included $1.3 million of non-cash interest expense related to the royalty transaction. No meaningful operating margin is reported because the company had no Q1 revenue.

Current assets were $81.7 million and current liabilities were $3.4 million at March 31, 2021. Total liabilities were $66.5 million, including a $61.3 million royalty-related liability; total stockholders’ equity was $45.4 million. The royalty obligation arose from recording the $60 million upfront royalty-sale proceeds as debt financing, not revenue. The company reported no off-balance-sheet arrangements.

Material changes and business developments

  • In January 2021, Royalty Pharma paid Minerva $60 million for its seltorexant royalty interest, with up to $95 million in additional milestone payments contingent on clinical, regulatory and commercial milestones. The upfront payment drove the increase in cash and financing cash flow.
  • Operating cash use improved year over year, while Q1 2021 financing cash flow was $60.0 million. Q1 2020 investing cash flow was $17.0 million, primarily from marketable-security maturities; Q1 2021 investing cash flow was zero.
  • Weighted-average shares outstanding rose to 42.7 million from 39.2 million a year earlier. Shares outstanding were 42,721,566 at March 31 and May 7, 2021.

Outlook, clinical update and risks

  • Management said existing cash should fund cash commitments for at least 12 months after issuance of the financial statements. It expects continued operating losses and negative operating cash flow and says additional capital will be needed to fund operations and later-stage development. Further financing is not assured; without it, programs may be delayed, scaled back or discontinued.
  • Minerva planned to continue regulatory discussions and clinical pharmacology, non-clinical, and chemistry, manufacturing and controls work for roluperidone, with an NDA submission targeted for 2022. This was a plan, not an assurance of filing or approval.
  • On May 11, 2021, after quarter-end, the company reported results from the 40-week open-label extension of the roluperidone Phase 3 trial. Improvements were reported in symptom and functioning measures, but the extension was not placebo-controlled and its efficacy results have interpretive limitations. The preceding 12-week double-blind trial did not meet its primary or key secondary endpoints in the intent-to-treat population.
  • Minerva began screening for a pivotal roluperidone bioequivalence study on April 23, 2021 and expected top-line results in Q3 2021.
  • Two putative securities class actions concerning statements about roluperidone development were consolidated. Minerva disputes the claims but said it could not estimate a reasonably possible loss or range of loss.
  • COVID-19 had not materially adversely affected operations to date, according to the company, but restrictions, trial disruption, delays, and capital-market effects remained risks.
  • Management reported disclosure controls and procedures were effective at a reasonable assurance level as of March 31, 2021.

Key facts for investors to verify

  • Whether the FDA’s feedback and remaining development work support the stated 2022 roluperidone NDA target, particularly given the Phase 3 primary-endpoint outcome.
  • Whether the bioequivalence study produces the expected results and whether manufacturing and regulatory requirements affect timelines.
  • How seltorexant’s Phase 3, regulatory and commercial progress affects the contingent milestone payments of up to $95 million and the estimates underlying the royalty liability and non-cash interest expense.
  • Cash burn, planned clinical spending and financing needs relative to management’s stated 12-month liquidity expectation.
  • Developments in the consolidated securities litigation and any resulting financial exposure.
