Cloud revenue represented 66.5% of total revenue, compared with 59.4% in 2022. Cloud gross margin improved to 65.0% from 63.5%, reflecting scale, a greater mix of higher-margin software offerings and operating efficiencies. Total operating expenses increased only 1.0% to $1,174.1 million, while research and development increased 5.4% to support cloud and AI initiatives.

Cash, cash equivalents and short-term investments totaled $1.408 billion at year-end, including $511.8 million of cash and cash equivalents and $896.0 million of short-term investments. Management stated that existing cash and cash equivalents should fund working capital and capital expenditures for at least the next 12 months.

Net cash used in investing activities was $293.6 million, primarily reflecting $415.2 million of acquisition payments, $29.2 million of capital expenditures and $55.0 million of capitalized internal-use software costs. Net cash used in financing activities was $290.3 million, principally due to $288.4 million of share repurchases.

Total debt was approximately $666.3 million at carrying value at December 31, 2023, consisting primarily of $460.0 million of 0% exchangeable senior notes due September 2025 and $87.4 million of 1.25% notes that matured and were repaid in January 2024. Contractual obligations included $425.7 million of unconditional purchase commitments, $146.8 million of operating lease payments and $90.1 million of uncertain tax positions.

Material changes versus the prior comparable period

  • Revenue growth was driven by Customer Engagement, which increased by $205.3 million; Financial Crime and Compliance revenue decreased by $9.1 million, primarily due to lower product revenue.
  • Cloud revenue increased substantially, while services and on-premises product revenue declined as customers migrated from legacy deployments to cloud platforms.
  • Gross margin declined overall because of the changing revenue mix, particularly lower-margin cloud mix relative to products, although cloud gross margin improved.
  • Operating income and net income grew faster than revenue because operating expenses grew more slowly than gross profit and financial income increased.
  • Interest income increased as a result of higher yields on cash and investments, contributing to $22.5 million of net financial income versus $10.2 million in 2022.
  • NICE completed several acquisitions for aggregate consideration of approximately $446.9 million. The most significant was the December 2023 acquisition of LiveVox for $424.1 million, including $137.5 million of acquired technology and $186.2 million of goodwill.
  • Share repurchases totaled approximately $288.4 million in cash, or 1,497,279 shares at an average price of $192.63. A new authorization allows repurchases of up to an additional $300 million.
  • The effective tax rate increased to 26.1% from 23.0%, mainly because of a greater proportion of U.S. market-based income and changes in certain tax positions.

Guidance, outlook, management commentary and risks

Management’s strategy emphasizes continued migration to cloud platforms, expansion of AI-powered Customer Engagement and Financial Crime and Compliance offerings, cross-selling across the installed customer base, international expansion, strategic partnerships and acquisitions. The filing does not provide a specific 2024 revenue or earnings guidance figure.

Key opportunities include continued enterprise cloud adoption, demand for domain-specific generative AI and conversational AI, digital engagement, automation, fraud prevention and regulatory compliance. Management also expects to continue investing substantially in research and development, infrastructure, sales and marketing, and AI capabilities.

Principal risks include intense competition; rapid technological change and AI-related execution, privacy, bias and intellectual-property risks; dependence on third-party cloud, hosting, network and AI infrastructure providers; cybersecurity incidents and service outages; customer subscription renewals and cloud profitability; acquisition integration and goodwill or intangible-asset impairment; foreign-exchange volatility; changing privacy, AI, tax and industry regulation; geopolitical conditions, including the war in Israel and conflicts in the Middle East; and the ability to recruit and retain qualified personnel.

The company reported no material cybersecurity impact on its strategy, results or financial condition through the filing date. Management and the independent auditor concluded that internal control over financial reporting was effective, and the financial statement audit opinion was unqualified.

Legal proceedings are described as arising in the ordinary course and not expected to have a material effect. However, NICE is contesting Israeli tax assessments and decrees covering multiple years; management believes recorded unrecognized tax benefits are sufficient. NICE also benefits from Israeli Preferred Technology Enterprise tax treatment, which depends on continued compliance with applicable conditions.

Most important facts for investors to verify

  • Confirm the distinction between annual fiscal-year results and any separately reported 2023 fourth-quarter results, which are not presented in this Form 20-F.
  • Assess whether cloud growth and improving cloud gross margin can offset continued declines in services and on-premises product revenue.
  • Review LiveVox integration, acquisition accounting, goodwill and acquired intangible-asset valuation, including the preliminary nature of certain purchase-price allocations.
  • Evaluate liquidity after the January 2024 repayment of $87.4 million of 2017 Notes and the $460.0 million 2020 Notes maturity in September 2025.
  • Monitor the $300 million share-repurchase authorization, acquisition spending and their effect on cash balances and share count.
  • Review the disputed Israeli tax assessments, $90.1 million of uncertain tax positions and potential effects of global minimum-tax rules.
  • Track cybersecurity, cloud-provider, AI-capacity, privacy and regulatory developments that could affect service availability, costs, customer adoption and liability.
