Nektar Therapeutics — 2023 Form 10-K Summary
Business context and reporting period
Clinical-stage biopharmaceutical company focused on immunotherapy and polymer-conjugate technology. This annual report covers the fiscal year ended December 31, 2023; it is not a standalone fourth-quarter report. Its principal clinical programs are rezpegaldesleukin for autoimmune disease and NKTR-255 for cancer. Nektar also has preclinical programs, including NKTR-0165, and sells PEGylation materials to partners.
Financial performance and liquidity
| Metric | 2023 | 2022 |
|---|---|---|
| Total revenue | $90.1 million | $92.1 million |
| Product sales | $20.7 million | $20.3 million |
| Non-cash royalty revenue | $68.9 million | $69.8 million |
| Research and development expense | $114.2 million | $218.3 million |
| Operating loss | $263.7 million | $376.2 million |
| Net loss | $276.1 million | $368.2 million |
| Net cash used in operating activities | $192.6 million | $304.0 million |
Revenue declined 2% year over year; net loss narrowed 25%. The lower R&D expense chiefly reflects program termination and workforce reductions, rather than a comparable reduction in ongoing development needs. Product sales exceeded cost of goods sold by $13.1 million, indicating negative product gross margin; the filing attributes this partly to a UCB fixed-price manufacturing arrangement and facility-cost allocation. Most reported royalty revenue is non-cash because the related royalty rights were sold.
At year-end, cash and marketable securities totaled $329.4 million, including $35.3 million cash and cash equivalents. Current assets were $330.7 million and current liabilities $51.3 million. Total liabilities were $267.0 million, including $112.6 million of liabilities related to sold future royalties and $117.8 million of operating lease liabilities. The filing reports no credit facility or committed capital and estimates available working capital will fund current plans for at least 12 months from filing. The company remains loss-making and expects negative operating cash flow.
Material changes, outlook and commentary
- Programs and collaborations: Lilly terminated its rezpegaldesleukin agreement in 2023 after the Phase 2 lupus study missed its primary endpoint. Nektar regained full rights and now bears development costs. The bempegaldesleukin program was discontinued after trials failed to meet primary endpoints; BMS and Nektar terminated their collaboration agreement in September 2023.
- Restructuring and impairment: 2022 and 2023 restructuring plans reduced the workforce substantially and led to facility-sublease plans. 2023 included $52.0 million in restructuring, impairment and terminated-program costs, plus a $76.5 million non-cash goodwill impairment. It also recorded $35.3 million of non-cash impairment of lease assets and property, plant and equipment.
- 2024 expectations: Management expects total R&D expense to increase slightly, mainly as rezpegaldesleukin Phase 2b trials advance; it expects operating cash use to increase. It expects product sales and related cost of goods sold to rise, and G&A expense to decrease slightly. The company targeted topline data from the NKTR-255/avelumab study in the second half of 2024. These are management expectations, not assurances.
- Subsequent financing and royalty transaction: In February 2024, Nektar repurchased 8.3 million shares previously sold to BMS for $3.0 million. In March 2024, it agreed to sell pre-funded warrants for $30.0 million gross proceeds, with closing expected by March 6. Also in March, it received $15.0 million from HCR in exchange for removing the cap on royalties previously sold; those future royalties will not return to Nektar.
- Contingencies and listing risk: Nektar sued Lilly in August 2023 alleging breach of contract and breach of the implied covenant of good faith and fair dealing. It recorded no litigation liability; potential outcomes and losses are not estimable from the filing. Nasdaq granted a second compliance period through May 20, 2024 to regain the $1.00 minimum bid price, with a reverse split identified as a possible remedy.
- Clinical-data caution: Nektar disclosed that interim rezpegaldesleukin atopic dermatitis and psoriasis data presented by Lilly in 2022 were incorrectly calculated, and it reported corrected results in 2023. The later final Phase 1b atopic dermatitis results showed dose-dependent improvements versus placebo, but these are early-stage findings and do not establish efficacy in later trials.
