NEUROONE MEDICAL TECHNOLOGIES Corp quarterly report, Q2 FY2024

NeuroOne Medical Technologies Corporation — Form 10-Q

Reporting period: Quarter and six months ended March 31, 2024 (fiscal second quarter); filed May 14, 2024. Financial statements are unaudited.

Business context

NeuroOne develops and commercializes thin-film electrode and related technologies for neurological conditions. The company has FDA 510(k) clearance for its cortical electrodes, sEEG electrodes, and OneRF ablation system. It began a limited commercial launch of OneRF in March 2024 and has no distribution partner for that system. Zimmer holds exclusive global distribution rights for specified electrode products.

Quarterly product revenue increased from $466,176 in the prior-year quarter; six-month product revenue rose from $580,755. Gross profit increased substantially from $31,503 and $19,196, respectively. The six-month net loss nevertheless widened from $5.26 million, in part as the prior-year period included $1.46 million of Zimmer collaboration revenue. Quarterly net loss narrowed from $3.52 million.

Cash and cash equivalents were $2.43 million at March 31, 2024, down from $5.32 million at September 30, 2023. Total assets were $5.39 million and total liabilities $1.54 million; stockholders’ equity was $3.85 million. The filing reports no debt balance in the presented balance sheet. Current liabilities were $1.54 million, including $780,839 of accounts payable and $759,620 of accrued expenses and other liabilities. Lease liabilities totaled $121,896, all classified as short-term.

Six-month financing provided $3.17 million net, primarily from ATM stock sales. Cash declined by $2.89 million during the period. The company issued 1,093,135 additional shares under its ATM after quarter-end through May 10, receiving $1.29 million in net proceeds. Shares outstanding were 27,515,921 as of May 10, 2024.

Changes, outlook, and risks

  • Management states that available liquidity was adequate to fund operations through July 2024. The filing also says cash may not fund operations for at least 12 months from the filing date; management identifies substantial doubt about the company’s ability to continue as a going concern.
  • The company expects continuing losses and significant expenses, and says it will need additional capital through equity, debt, collaborations, or other sources. If financing or expected operating results do not materialize, it may reduce planned spending; failure to obtain capital could materially harm operations or require the company to cease operations.
  • SG&A increased to $4.18 million for six months, primarily due to higher administrative payroll and professional fees, including legal services. R&D declined to $2.76 million, mainly reflecting lower and differently timed OneRF development activity. Management expects SG&A and R&D to increase as commercialization and development continue.
  • Revenue is highly concentrated: one customer accounts for all product and collaboration revenue. The filing also identifies reliance on a single contract manufacturer for Strip/Grid and sEEG products. Zimmer’s commercialization performance is a material business risk.
  • Macroeconomic uncertainty, inflation, supply-chain and labor constraints, capital-market access, regulatory and clinical development, reimbursement, commercialization, and intellectual-property protection are identified risks. No material legal proceedings or recorded loss contingencies were reported.
  • WARF royalties include a minimum annual payment of $150,000 while the license remains in effect; Mayo royalties depend on sales of licensed products. The company reported no income-tax benefit and maintains a full valuation allowance on deferred tax assets.

Important facts for investors to verify

  • Current cash runway, burn rate, and the timing and terms of any further financing, including subsequent ATM share issuance and dilution.
  • Whether product sales—particularly sEEG and the limited OneRF launch—grow enough to improve gross profit and reduce cash consumption.
  • Customer concentration and Zimmer’s progress in marketing and commercializing products covered by its exclusive distribution agreement.
  • Production continuity and quality given reliance on a single contract manufacturer for key electrode products.
  • Whether additional financing or expense reductions address the going-concern uncertainty identified in the filing.
